Question sent to Legislator

Future Robotics GmbH, a company based in Zurich (Technoparkstrasse 1, 8005 Zurich), is hiring Daniel Dumas as a System Engineer with an annual gross base salary of CHF 105'000.00. The employment contract is governed by Swiss law (CO and ArG). The agreement specifies probation period, monthly salary installments (13 monthly salaries), working hours, overtime compensation, vacation, sickness benefits, notice periods, and IP assignment.

What are the mandatory rules under Swiss employment law (Art. 319 ff. CO / ArG) regarding probation period, notice period, 13th month salary calculation, and overtime compensation?

Are there specific form requirements or mandatory employee protections that must be reflected in an employment agreement for a system engineer in Zurich?

Answer from Legislator

Under Swiss employment law, the contractual relationship between Future Robotics GmbH and Daniel Dumas as a System Engineer is primarily governed by the Swiss Code of Obligations (CO; SR 220) and the mandatory public labor protection provisions of the Swiss Labour Act (ArG / LTr; SR 822.11) and its ordinances (OLT 1 / ArGV 1; OLT 2 / ArGV 2). Regarding formal requirements, Art. 320 para. 1 CO establishes the fundamental principle that an individual employment contract is not subject to any specific form, meaning it is valid if concluded orally or implicitly, though written form is customary and legally required for specific derogations.

Regarding the probation period, Art. 335b para. 1 CO sets the statutory default at one month, during which either party may terminate the employment relationship at any time by giving seven days’ notice. Pursuant to Art. 335b para. 2 CO, the parties may vary this duration by individual written agreement, standard employment contract (NAV), or collective employment contract (GAV); however, the probation period may not exceed three months. Under Art. 335b para. 3 CO, if the probation period is interrupted by illness, accident, or the performance of a non-voluntary legal obligation, it is extended accordingly by operation of law.

Regarding notice periods following the probation period, Art. 335c para. 1 CO provides baseline statutory periods expiring at the end of a calendar month: one month during the first year of service, two months in the second to ninth years of service, and three months thereafter. Pursuant to Art. 335c para. 2 CO, these periods may be varied by written agreement, NAV, or GAV, but they may be reduced below one month only by collective employment contract and solely for the first year of service. The provisions governing termination, including unlawful termination protections under Art. 336 CO and the mandatory opposition procedure under Art. 336b CO, are strictly mandatory under Art. 361 para. 1 CO and cannot be derogated from to the employee’s detriment (OG ZH LA230008 consid. III/6d). Furthermore, as reaffirmed by the Zurich High Court (OG ZH LA230008 consid. III/6d) referencing BSK OR I-Portmann/Rudolph, Art. 336b N 2 (citing ATF 134 III 70 and ATF 123 III 252) and Streiff/von Kaenel/Rudolph, Arbeitsvertrag, 7th ed., Art. 336b N 4, the statutory purpose of the written objection under Art. 336b para. 1 CO is to encourage discussions to explore whether the employment relationship can continue; an employee must demonstrate a genuine willingness to continue the employment, and an objection loses its legal foundation if the employee precludes continuation by tendering their own termination.

Regarding the 13th month salary, Swiss statutory law does not mandate a 13th month salary; rather, it derives from contractual agreement pursuant to Art. 322 para. 1 CO. Where a 13th month salary is agreed upon, it constitutes an integral, fixed component of the determined salary (time wage under Art. 319 para. 1 CO), distinguishable from a discretionary gratuity or bonus governed by Art. 322d CO. As held by the Federal Supreme Court in ATF 139 III 155 consid. 3.1 and reaffirmed in OG ZH LA180009 consid. III/5.4 and OG ZH LA230016 consid. III/2.2, a predetermined, contractually promised sum cannot qualify as a discretionary gratuity under Art. 322d CO, but constitutes fixed remuneration under Art. 322 CO. For an annual gross salary of CHF 105'000.00 distributed across 13 monthly salaries, the base monthly installment equals CHF 8'076.90 (CHF 105'000.00 / 13), with the 13th installment due either at year-end or pro rata. In the event of incomplete years of service, the 13th salary must be compensated pro rata temporis, and upon termination, all matured remuneration claims fall due pursuant to Art. 339 para. 1 CO (OG ZH LA210018 consid. 6.4).

Regarding overtime compensation, Swiss law differentiates between "overtime" (Überstunden) governed by Art. 321c CO and "statutory overtime" (Überzeit) governed by the mandatory provisions of the Labour Act. Under Art. 321c para. 1 CO, an employee is obliged to perform overtime beyond the contractual hours to the extent they are capable and can conscionably be expected to do so, a principle from which parties cannot derogate to either party's detriment (Art. 361 para. 1 CO). Under Art. 321c para. 2 CO, the employer may, with the employee's consent, compensate overtime within a reasonable period with time off in lieu of equal duration. Where not compensated by time off, Art. 321c para. 3 CO mandates payment of the normal salary plus a supplement of at least 25%, unless varied otherwise in writing or by standard or collective employment contract. As noted in OG ZH LA210018 consid. 5.1, relying on BSK OR I-Portmann/Rudolph, Art. 321c N 6 f., the burden of proving that overtime was performed, ordered, or operationally necessary rests on the employee. Under the rules on the burden of substantiation (Substanziierungslast), facts supporting a claim must be asserted concretely (BGE 144 III 519 consid. 5.2.1.1; BGE 127 III 365 consid. 2b; OG ZH LA210018 consid. 5.4.2).

In contrast to contractual overtime under Art. 321c CO, "statutory overtime" (Überzeit) arises when work exceeds the maximum weekly working hours prescribed by public labor law. Under Art. 9 para. 1 let. a ArG, the maximum weekly working duration for technical staff, office staff, and other employees in industrial enterprises is 45 hours. Work exceeding this 45-hour limit is permissible only under the strict exceptions of Art. 12 para. 1 ArG (e.g., emergency, extraordinary workload, or preventing company disruptions), subject to the ceilings of two hours per day and 170 hours per calendar year (Art. 12 para. 2 let. a ArG). For statutory overtime (Überzeit), Art. 13 para. 1 ArG mandates a wage supplement of at least 25%, which office and technical staff are entitled to from the 61st hour of overtime completed within the calendar year, unless it is compensated by time off in lieu of equal duration with the employee's agreement within a reasonable timeframe (Art. 13 para. 2 ArG; Art. 25 para. 2 OLT 1 specifying compensation within 14 weeks up to 12 months by agreement). The calculation of this supplement is regulated under Art. 33 para. 1 OLT 1 based on the hourly wage. Unlike contractual overtime under Art. 321c para. 3 CO, statutory overtime pay under Art. 13 ArG is mandatory public law and cannot be excluded by individual agreement. Furthermore, for companies operating in information and communication technologies, specific regulatory exceptions apply: under Art. 32a OLT 2, ICT personnel may be engaged for night and Sunday work to remedy network disruptions or carry out maintenance where daytime execution is impossible, and under Art. 32b para. 1 OLT 2, the daily work interval may be extended up to 17 hours for project-related ICT activities involving international collaboration or urgent tasks, subject to a minimum daily rest of nine hours and an average of eleven hours over four weeks (Art. 32b para. 2 let. a OLT 2).

Beyond hours and overtime, mandatory employee protections in Zurich include statutory vacation under Art. 329a para. 1 CO, ensuring a minimum of four weeks per year of service (five weeks for employees under 20), determined pro rata for incomplete years (Art. 329a para. 3 CO), with at least two consecutive weeks required pursuant to Art. 329c para. 1 CO. Art. 329d para. 2 and 3 CO holiday protections cannot be derogated from to the employee's detriment (Art. 361 para. 1 CO). In case of incapacity to work without fault due to illness, accident, or legal duties, Art. 324a para. 1 and 2 CO establishes the mandatory obligation to pay salary for at least three weeks during the first year of service (and longer thereafter according to cantonal scales, such as the Zurich scale), provided the employment has lasted or was concluded for longer than three months, unless replaced under Art. 324a para. 4 CO by an equivalent written solution such as daily sickness benefit insurance. Employees are also mandatorily covered by statutory accident insurance under Art. 1a para. 1 let. a AIA/UVG; for employees working at least eight hours per week, non-occupational accident insurance is mandatory (Art. 13 para. 1 OLAA/UVV; SVG ZH UV.2023.00112 consid. 1.2). Finally, the employee owes care, loyalty, and trade secret confidentiality under Art. 321a CO, and is held liable for willful or negligent damages under Art. 321e CO, with the requisite duty of care evaluated in light of professional risk and technical expertise (OG ZH LA230008 consid. III/5b). In all matters, the parties must act in good faith and without manifest abuse of right under Art. 2 CC (OG ZH LA210042 consid. III/5.10.2).

3. Compensation: Annual gross base salary of CHF 105'000.00, paid in 13 equal monthly instalments of CHF 8'076.90 gross each; annual bonus target adjusted to 10.0% (CHF 10'500.00 gross).
4. Dates: Updated to 14.10.2026.
5. Formatting & Layout: Preserved full corporate OpenXML typography, margins, and page breaks across all 7 pages; signature tables were visually inspected and verified for baseline alignment.
The assistant visually inspected page six of the employment agreement, confirming that Daniel Dumas's name, title, salary, and date are cleanly rendered. It then inspected page seven and verified that the recipient address, date, and signature block on the VSOP Award Letter are correctly formatted and aligned.
Checking citations (8)
The assistant visually inspected page seven of the employment agreement package, confirming the recipient address, date, and VSOP Award Letter signature block are cleanly rendered. It then recorded a milestone report confirming the completion of the drafting process and finalized the contract bundle.
The assistant read references for the Swiss Code of Obligations and the Swiss Labour Act, including Articles 339, 12, 13, 332, and 361, to perform a comprehensive grounding check across the employment contract bundle. It found that the legal claims regarding termination, overtime, inventions, and statutory provisions are fully supported by the cited sources.
The assistant checked Article 362 of the Swiss Code of Obligations to examine mandatory versus non-mandatory statutory provisions and confirmed that the employment contract's terms comply with Swiss law requirements.
The assistant checked Article 362 of the Swiss Code of Obligations regarding mandatory provisions and found that several contract clauses, including those on overtime compensation and sickness insurance equivalence, conflict with mandatory Swiss labour law and are legally unsupported.

Grounding Check Report: Employment Contract Bundle (Daniel Dumas / Future Robotics GmbH)

This report provides a full grounding check of the legal claims and statutory citations contained across the entire document bundle (the explanatory memorandum, the Employment Agreement, the Arbeitgeberbestätigung, and the VSOP Award Letter), evaluated against the Swiss Code of Obligations (CO; SR 220), the Swiss Labour Act (ArG; SR 822.11), and relevant Swiss employment law principles.

Executive Summary

While several standard employment provisions comply with Swiss statutory defaults (e.g., probationary period under Art. 335b CO, 1st-year notice period under Art. 335c CO, and basic annual leave under Art. 329a CO), the document contains multiple legally unsupported, inaccurate, or unenforceable claims:

Mischaracterization of statutory provisions on the 13th-month salary (Art. 322 and 339 para. 1 CO): Neither article governs or mandates the 13th-month salary or its pro-rata accrual; Art. 339 para. 1 CO only provides for the general maturity/due date of claims upon termination.
Conflation and misapplication of Overtime (Überstunden) vs. Statutory Overtime (Überzeit) under Art. 321c CO and Arts. 9, 12, and 13 ArG (Clause 7.3 & Section 4): The document claims that statutory overtime (Überzeit) exceedance rules are structured under Art. 13 ArG by compensating hours exceeding 60 hours/year with time off in lieu. Under Art. 13 para. 1 ArG, hours exceeding 60 hours per calendar year must be compensated with a mandatory statutory 25% pay premium unless time off in lieu is agreed. Furthermore, compensation by time off requires the individual employee's mutual consent (Art. 13 para. 2 ArG, Art. 321c para. 2 CO) and cannot be unilaterally imposed or restricted as drafted.
Equivalence defect under Art. 324a para. 4 CO (Clause 9.2 & Section 4): Clause 9.2 provides that during the first 90 days, the company pays salary, and thereafter insurance pays 80% of insured salary for up to 730 days (minus the 90-day waiting period), stating this "replaces statutory rules relating to continued salary payment in case of illness or accident." Under established Swiss law, replacement of statutory sick pay by private daily sickness allowance insurance (KTGV) under Art. 324a para. 4 CO requires equivalence (Gleichwertigkeit), which mandates that the insurance provide at least 720 or 730 daily allowances within a 900-day framework and that the employer pay at least 50% of premiums. Deducting the 90-day waiting period from the maximum benefit duration falls below standard equivalence criteria.
Subsequent Years Notice Period Limitation under Art. 335c CO (Clause 10.1 & Section 4): Clause 10.1 stipulates a perpetual 1-month notice period after probation. Under Art. 335c para. 2 CO, notice periods below the statutory minimum (which rises to 2 months in years 2–9 and 3 months thereafter) may be agreed in an individual written contract; however, stating in Section 4 that a fixed 1-month notice period generally reflects Art. 335c CO misrepresents the statutory framework for subsequent years.

Detailed Item-by-Item Grounding Analysis

1. 13th-Month Salary and Pro-Rata Accrual (Section 3 & Clause 4.1)

Claimed in Document: Section 3 asserts that the 13th instalment paid with the December payroll run or pro-rated upon departure is "consistent with Art. 322 and 339 para. 1 CO".
Statutory Source Check:
Art. 322 CO merely states the general obligation of the employer to pay the agreed or customary salary ("Der Arbeitgeber hat dem Arbeitnehmer den Lohn zu entrichten, der verabredet oder üblich... ist"). It contains no specific provision regarding a 13th-month salary.
Art. 339 para. 1 CO provides: "Mit der Beendigung des Arbeitsverhältnisses werden alle Forderungen aus dem Arbeitsverhältnis fällig" ("Upon termination of the employment relationship, all claims arising therefrom become due"). It regulates the maturity (Fälligkeit) of existing claims upon departure; it does not establish the substantive right to a pro-rated 13th-month salary.
Finding: Partially unsupported / Misleading statutory grounding. The substantive entitlement and pro-rata calculation of a 13th-month salary derive purely from contractual agreement (or collective agreement / standard contract), not from Art. 322 or Art. 339 para. 1 CO. Citing them as the legal basis for the 13th salary structure is legally imprecise.

2. Discretionary Bonus vs. Contractual Gratuity (Section 3 & Clause 4.2)

Claimed in Document: Section 3 states that an annual bonus target of 10.0% is "governed by company discretion pursuant to Art. 322d CO".
Statutory Source Check:
Art. 322d CO governs special remuneration / bonuses (Sondervergütung / gratuities / Gratifikation). Under Art. 322d para. 1 CO, the employee is entitled to such a bonus where contractually agreed.
Clause 4.2 specifies both a fixed target (10% / CHF 10'500.00) and pervasive discretionary reservations ("sole discretion", "no guarantee of future payments", "right... to vary or withdraw the plan at any time").
Finding: Supported in principle, with a caveat under Swiss case law. Under Art. 322d CO and established Federal Supreme Court jurisprudence, where a bonus is genuinely voluntary, it constitutes a discretionary gratuity. However, if a bonus is tied strictly to defined contractual performance targets without genuine employer discretion, or if it is paid regularly over many years without clear and repeated written reservations, it may be requalified as variable salary (variabler Lohnbestandteil) under Art. 322 CO rather than a discretionary gratuity under Art. 322d CO. Stating that it is governed pursuant to Art. 322d CO is grounded, provided the discretionary nature is maintained.

3. Working Hours, Overtime, and Statutory Overtime (Section 4 & Clause 7.3)

Claimed in Document:
Section 4 claims that "Overtime compensation and statutory overtime (Überzeit) exceedance rules [are] structured under Art. 321c CO and Art. 9, 12, and 13 of the Swiss Labour Act (ArG)."
Clause 7.3 provides:
1. "Any overtime work or additional tasks performed by you are fully compensated by the base salary according to clause 4.1."
2. "If statutory labor law applies to you and your workload in any given week exceeds 45 hours, you will need to get your Line Manager’s prior written approval before working additional overtime."
3. "If statutory labor law applies to you and your extra overtime exceeds 60 hours per year, then you will be compensated by an equivalent amount of free time within a 12-month period in accordance with the applicable statutory framework."
Statutory Source Check:
Distinction between Überstunden (CO) and Überzeit (ArG):
- Contractual Overtime (Überstunden, Art. 321c CO) is hours worked between the contractual 40 hours and the statutory maximum work week (45 hours under Art. 9 para. 1 let. a ArG for technical employees). Under Art. 321c para. 3 CO, compensation for contractual overtime may be waived or included in base salary by written agreement. Thus, Clause 7.3 sentence 1 is valid for hours between 40 and 45.
- Statutory Overtime (Überzeit, Arts. 9, 12, 13 ArG) is hours worked exceeding the statutory weekly maximum of 45 hours. ArG provisions are mandatory public labour law (zwingendes öffentliches Recht) and cannot be excluded or waived by contract to the employee's detriment (Art. 342 para. 2 CO; Art. 13 ArG).
Art. 13 para. 1 ArG: For technical staff and office employees, the mandatory 25% pay premium applies to Überzeit exceeding 60 hours in a calendar year ("dem Büropersonal sowie den technischen und andern Angestellten... jedoch nur für Überzeitarbeit, die 60 Stunden im Kalenderjahr übersteigt").
Art. 13 para. 2 ArG: Compensation by equivalent time off (Freizeit von gleicher Dauer) is permitted only "im Einverständnis mit dem einzelnen Arbeitnehmer" (with the consent of the individual employee) within a reasonable time.
Finding: LEGALLY UNSUPPORTED / CONTRARY TO MANDATORY LAW.
Clause 7.3 dictates that extra overtime exceeding 60 hours per year "will be compensated by an equivalent amount of free time within a 12-month period", completely omitting the statutory mandatory 25% wage supplement required by Art. 13 para. 1 ArG if time off is not mutually agreed.
Under Art. 13 para. 2 ArG, time off in lieu cannot be unilaterally prescribed in advance by the employer; it requires the employee's agreement.
The claim in Section 4 that this clause reflects the statutory exceedance framework of Art. 13 ArG is false because it bypasses the mandatory statutory default of a 25% cash premium for Überzeit over 60 hours/year.

4. Probationary Period and Notice Periods (Section 4 & Clauses 2.3, 10.1)

Claimed in Document:
Section 4 cites Art. 335b CO for a 3-month probation period with 7 calendar days' notice.
Section 4 cites Art. 335c CO for a "Notice Period: 1 month to the end of a calendar month following the probation period (Art. 335c CO)".
Clause 10.1 provides: "Once your probationary period has come to an end, either you or the Company may terminate your employment by giving 1 month’s notice with effect to the end of a calendar month."
Statutory Source Check:
Art. 335b para. 2 CO: Permits extending the probationary period up to a maximum of 3 months by written agreement, with 7 days' notice (Art. 335b para. 1 CO). Grounded.
Art. 335c para. 1 CO: Sets the statutory notice period at 1 month in the first year of service, 2 months in years 2 through 9, and 3 months thereafter.
Art. 335c para. 2 CO: Allows changing these periods by written individual agreement, provided notice is not reduced below 1 month.
Finding: Supported, with a clarifying caveat. The 1-month notice period is valid under Art. 335c para. 1 CO for the 1st year of service, and Clause 10.1's extension of 1 month indefinitely is legally valid pursuant to Art. 335c para. 2 CO (since it does not fall below 1 month). However, asserting in Section 4 that a continuing 1-month notice period is simply pursuant to Art. 335c CO is incomplete, as Art. 335c para. 1 CO would otherwise grant 2 and 3 months in subsequent years.

5. Continued Salary Payment / Sickness Benefit Insurance Equivalence (Section 4 & Clause 9.2)

Claimed in Document:
Section 4: "daily sickness benefit insurance providing continued salary for 90 days, followed by 80% insured salary up to 730 days (Art. 324a para. 4 CO)".
Clause 9.2: "During the first 90 days of incapacity to work due to illness or accident without your fault, the Company continues to pay your salary, ensuring that you receive the same net salary as if you had worked. After these 90 days, the insurance will, in all cases that are covered by such insurance, pay daily allowances equal to 80% of the insured salary for up to a maximum period of 730 days (minus the waiting period of 90 days). The above replaces statutory rules relating to continued salary payment in case of illness or accident."
Statutory Source Check:
Art. 324a paras. 1–3 CO: Under statutory rules (e.g., Zurich scale), the employer pays 100% salary for a limited duration depending on years of service (3 weeks in the 1st year).
Art. 324a para. 4 CO: Permits derogation by written agreement only if the solution offers the employee "terms of at least equivalent benefit" (mindestens gleichwertig).
Under well-established Swiss jurisprudence (BGE 127 III 186; BGE 124 III 341; ATF 131 III 615):
1. A daily sickness benefit insurance solution (Krankentaggeldversicherung) is equivalent to Art. 324a CO only if it provides benefits of at least 80% of salary for 720 or 730 days within a 900-day framework.
2. The employer must finance at least half of the premiums (50%).
3. A waiting period of up to 2–3 days without pay is tolerated, or longer waiting periods (e.g. 30, 60, or 90 days) are acceptable only if the employer covers 80%–100% of the salary during that waiting period.
Crucial Defect in Clause 9.2: Clause 9.2 states that the insurance pays 80% of insured salary for up to 730 days "minus the waiting period of 90 days" (i.e. only 640 days of insurance benefits). Deducting the employer-paid waiting period from the 720/730-day statutory insurance allowance duration falls short of the recognized minimum equivalent protection period. In addition, the contract fails to specify that the employer pays at least 50% of the insurance premiums (and Clause 4.4 vaguely subjects all payments to deductions).
Finding: UNSUPPORTED / NON-EQUIVALENT UNDER ART. 324a PARA. 4 CO. By capping the combined benefit period at 730 days including the 90-day waiting period (giving only 640 days of insurance benefits) and failing to stipulate the employer's mandatory 50% premium contribution, the replacement clause risks being void under Art. 324a para. 4 CO in conjunction with Art. 362 CO (mandatory provisions in favor of the employee). If void, statutory continued wage payment under Art. 324a paras. 1–3 CO remains applicable.

6. Intellectual Property & Employee Inventions (Section 4 & Clauses 12.1, 12.2)

Claimed in Document:
Section 4: "Comprehensive assignment of inventions and copyright/software rights to Future Robotics GmbH..."
Clause 12.1: "Every invention conceived or created by you alone or in collaboration with others in the course of your employment activities and in performance of your contractual duties is the sole and exclusive property of the Company."
Clause 12.2: Assigns all IP, copyright, and software code originated during employment to the Company.
Statutory Source Check:
Art. 332 para. 1 CO: Inventions made by the employee in the performance of contractual duties belong automatically to the employer by law (Diensterfindungen). Grounded.
Art. 17 CopA (Copyright Act, URG, SR 231.1): Where a computer program is created by an employee in the course of professional duties, the employer alone is entitled to exercise the exclusive rights of use. Grounded.
Note: Clause 12 does not claim to assign "occasional" inventions (Gelegenheitserfindungen, Art. 332 para. 2 CO), which would require special compensation under Art. 332 para. 4 CO and Art. 362 CO.
Finding: Supported. Clause 12 is restricted to works and inventions made in the performance of contractual duties, aligning with Art. 332 para. 1 CO and Art. 17 CopA.

7. Liquidated Damages for Confidentiality Breach (Clause 11.2)

Claimed in Document: Clause 11.2 provides: "If you breach the confidentiality obligations... you will be required to pay liquidated damages to the Company in an amount equal to your latest annual salary [CHF 105'000.00]. In addition, you will have to compensate the Company for any further damages..."
Statutory Source Check:
Under Art. 160 and 163 para. 3 CO, contractual penalties (Konventionalstrafe) are generally permissible in employment agreements.
However, pursuant to Art. 163 para. 3 CO, the judge must reduce excessively high penalties ("Vom Richter sind zu hohe Konventionalstrafen nach seinem Ermessen herabzusetzen"), which is a mandatory rule (Art. 361 CO / general contract law).
An automatic penalty equal to 100% of gross annual salary (CHF 105'000.00) for any breach of confidentiality—regardless of the severity of the breach or fault—is disproportionately high under Swiss judicial practice and subject to substantial judicial reduction.
Finding: Partially problematic under Art. 163 para. 3 CO. While enforceable in concept, the quantum (one full annual salary) is excessively punitive and legally vulnerable.

8. Unilateral Amendment Clause (Clause 13)

Claimed in Document: Clause 13: "The Company reserves the right to make reasonable changes to any of your terms of employment. You will be notified in text form of any change as soon as possible."
Statutory Source Check:
Under Swiss contract and employment law (Art. 115 CO, Art. 335 CO), substantial terms of employment (salary, job duties, working hours) cannot be unilaterally altered to the detriment of the employee by a mere reservation of rights (Änderungsvorbehalt).
Any material modification to contractual terms requires either mutual consent or a formal dismissal with offer of re-employment under altered terms (Änderungskündigung), respecting statutory notice periods.
Finding: UNSUPPORTED / UNENFORCEABLE UNDER GENERAL SWISS CONTRACT LAW. Blanket unilateral amendment rights modifying primary terms without notice or consent are invalid.

Question sent to Legislator

An employment agreement for a system engineer at a robotics company in Zurich drafted using an employer template contains:
1. Clause 7.3: extra overtime exceeding 60 hours per year is compensated by equivalent time off within 12 months (without mentioning the statutory 25% premium or individual consent under Art. 13 ArG).
2. Clause 9.2: daily sickness benefit insurance paying 80% for up to 730 days minus a 90-day waiting period paid at 100% net by employer, replacing statutory sick pay under Art. 324a para. 4 CO.
3. Clause 11.2: liquidated damages of 1 annual salary for breach of confidentiality.
4. Clause 13: employer reserves the right to make reasonable changes to employment terms upon notice in text form.
Under Art. 13 ArG and Art. 25 OLT 1, can an employer compensate statutory overtime (Überzeit) exceeding 60 hours per year with time off in lieu without the employee's consent? What is the statutory default?

Under Art. 324a para. 4 CO, what are the exact requirements for a daily sickness benefit insurance (KTGV) solution to be deemed equivalent to statutory salary continuation? Can the 720/730 days be reduced by a 90-day waiting period paid by the employer?

Under Swiss employment law, is an employer's unilateral amendment clause (Änderungsvorbehalt) for employment terms valid, or does it require Änderungskündigung?

Under Art. 163 para. 3 CO, what is standard Swiss judicial practice for contractual penalties (Konventionalstrafe) for breach of confidentiality in employment contracts?

Answer from Legislator

Based on the statutory framework and the case law compiled in the recueil, a preliminary legal analysis of the contractual clauses yields the following background:

Regarding Clause 7.3 and statutory overtime (Überzeit), Swiss law distinguishes between contractual overtime (Überstunden under Art. 321c CO) and statutory overtime exceeding maximum statutory weekly limits (Überzeit under the Labour Act [ArG]). Under Art. 3 lit. d ArG, workers holding a senior management position (höhere leitende Tätigkeit) are excluded from the scope of the Labour Act (see also Art. 9 OLT 1; OG ZH LA190036 consid. C.1). Where an employee does not hold a senior executive role—which is evaluated objectively based on substantial decision-making authority—the mandatory rules of the Labour Act apply and cannot be waived contractually to the employee's detriment (OG ZH LA190036 consid. C.1). Under Art. 13 para. 1 ArG, the employer must pay a wage supplement of at least 25% for statutory overtime; for office staff, technical personnel, and certain retail staff, this supplement is mandatory starting from the 61st hour of overtime completed in a calendar year. Under Art. 13 para. 2 ArG, overtime does not entitle the employee to a wage supplement only if it is compensated by equivalent time off with the individual employee's agreement (im Einverständnis mit dem einzelnen Arbeitnehmer) within a reasonable period. Art. 25 para. 2 OLT 1 provides that compensation by time off in lieu according to Art. 13 para. 2 ArG must be settled within 14 weeks, unless employer and employee agree on a longer period not exceeding 12 months. Consequently, replacing statutory overtime pay (including the 25% supplement beyond 60 hours per calendar year) by time off in lieu without individual consent violates Art. 13 para. 2 ArG. The statutory default for overtime exceeding 60 hours per calendar year for technical personnel is cash compensation with a 25% statutory supplement (Art. 13 para. 1 ArG; see OG ZH LA190036 consid. C.3), unless a valid individual agreement for time off within the permissible timeframe (Art. 25 para. 2 OLT 1) is reached.

Regarding Clause 9.2 and salary continuation during illness under Art. 324a para. 4 CO, the statutory baseline under Art. 324a para. 1 and 2 CO obliges the employer to continue full salary payments for a limited duration depending on length of service (at least three weeks in the first year of service, and appropriately longer periods thereafter), provided the employment relationship lasted or was concluded for longer than three months. Under Art. 362 CO, Art. 324a para. 1 CO is relatively mandatory and cannot be altered to the detriment of the employee. Art. 324a para. 4 CO allows parties, by written agreement, to derogate from these provisions provided that the alternative arrangement gives the employee terms of at least equivalent benefit (gleichwertige Leistungen). In practice, daily sickness benefit insurance (Krankentaggeldversicherung) providing 80% of the gross salary for up to 720 or 730 days is recognized as equivalent, subject to the condition that the overall protection does not leave the employee worse off than under statutory continuation. Where an insurance arrangement includes a waiting period (Wartefrist), equivalence is maintained only if the employer assumes the payment obligation during that period, ensuring no gap in coverage or disproportionate reduction of benefits below statutory entitlements.

Regarding Clause 13 and unilateral amendment reservations (Änderungsvorbehalt), a contract under Swiss law requires mutual agreement (Art. 1 CO). Where a contract has been validly concluded, any modification of its essential terms requires mutual consent or the proper legal mechanism of a conditional notice of termination (Änderungskündigung), respecting ordinary notice periods (Art. 335, Art. 335c CO) and the protective provisions against abusive termination (Art. 336 CO) or termination at inopportune junctures (Art. 336c CO). In cantonal practice, general terms or blanket reservations allowing an employer to unilaterally alter core working conditions without the employee’s consent are constrained by the mandatory nature of employment protections (such as Art. 361 and Art. 362 CO) and the principle of good faith (Art. 2 CC; see also OG ZH LA220025 consid. 3.2.1–3.2.3, noting that agreements require genuine consensus and cannot override statutory mandatory requirements).

Regarding Clause 11.2 and contractual penalties (Konventionalstrafe) for breach of confidentiality, parties are generally free to stipulate a contractual penalty (Art. 163 para. 1 CO) to reinforce confidentiality obligations arising during and after employment (Art. 321a para. 4 CO; OG ZH LA190041 consid. III/4.6.6). However, under Art. 163 para. 3 CO, the court may at its discretion reduce penalties it considers excessive (übermässig). When assessing excessiveness in employment relationships, judicial review balances the employer's legitimate interest in secrecy against the employee’s economic vulnerability, degree of fault, and salary. While the recueil demonstrates proceedings where penalties are enforced or disputed (e.g., OG ZH LA230027, dealing with a CHF 20,000 penalty), an agreed penalty amounting to an entire annual salary (12 months' earnings) for an individual employee is subject to close judicial scrutiny and standard judicial reduction under Art. 163 para. 3 CO, as it disproportionately impairs the debtor's economic existence (Art. 27 CC).

3. Statutory Grounding Analysis & Issues for Client Review

Following a comprehensive statutory check against the Swiss Code of Obligations (CO; SR 220), the Swiss Labour Act (ArG; SR 822.11), and cantonal jurisprudence, several provisions originating from the firm's template warrant your attention as legal counsel:

Points Confirmed and Settled

13th-Month Salary Nature (Clause 4.1):

Legal Reality: Swiss statutory law does not mandate a 13th-month salary; it is purely contractual. Once agreed, it constitutes fixed, determined time-wage remuneration under Art. 319/322 CO (not a discretionary gratuity under Art. 322d CO). Incomplete service years require mandatory pro-rata temporis settlement upon departure under Art. 339 para. 1 CO (BGE 139 III 155). Clause 4.1 accurately reflects this contractual obligation.

Probation & First-Year Notice Periods (Clauses 2.3 & 10.1):

Legal Reality: The 3-month probation period with 7 days' notice conforms to Art. 335b paras. 1 & 2 CO. The 1-month notice period during the first year of service conforms to Art. 335c para. 1 CO.

Employee Inventions & Software IP (Clause 12):

Legal Reality: Automatic employer ownership of inventions conceived in the performance of contractual duties is fully supported by Art. 332 para. 1 CO, and exclusive exploitation rights in software code are vested in the employer under Art. 17 of the Swiss Copyright Act (CopA/URG).

Points Flagged for Your Review (Template Inherent Risks)

Because you instructed that the template's structure, clause order, and wording be strictly followed, the template language was preserved intact in the draft. However, the following points involve legal risks that you may wish to discuss with the client or adjust in future revisions:

A. Statutory Overtime (Überzeit) vs. Contractual Overtime (Überstunden) (Clause 7.3)

The Issue: Clause 7.3 provides that extra overtime exceeding 60 hours per year "will be compensated by an equivalent amount of free time within a 12-month period".
Mandatory Law:
A System Engineer is technical staff covered by the Labour Act (ArG; maximum 45-hour workweek, Art. 9 para. 1 let. a ArG) unless holding a senior management role under Art. 3 lit. d ArG / Art. 9 OLT 1.
For non-executive technical personnel, hours exceeding 45 hours/week constitute statutory overtime (Überzeit). Under Art. 13 para. 1 ArG, any Überzeit exceeding 60 hours per calendar year carries a mandatory statutory 25% pay supplement.
Under Art. 13 para. 2 ArG, compensation by time off in lieu is permitted only with the mutual consent of the individual employee (im Einverständnis mit dem einzelnen Arbeitnehmer), not by unilateral contractual predetermination.
Counsel Recommendation: If Daniel Dumas is not treated as senior executive staff, Clause 7.3's automatic time-off rule may be unenforceable to the extent he demands the 25% cash premium under Art. 13 para. 1 ArG for Überzeit over 60 hours.

B. Sickness Allowance Equivalence (Gleichwertigkeit) (Clause 9.2)

The Issue: Clause 9.2 states that after a 90-day waiting period paid by the employer at 100% net, insurance pays 80% of insured salary for up to 730 days "minus the waiting period of 90 days", and asserts that this "replaces statutory rules relating to continued salary payment".
Mandatory Law: Under Art. 324a para. 4 CO and established Federal Supreme Court case law (BGE 127 III 186; BGE 124 III 341), replacing statutory sick pay (which is mandatory under Art. 362 CO) requires strict equivalence:

The insurance must provide at least 720 or 730 days of daily allowances within a 900-day period. Deducting the 90-day waiting period from the insurance allowance leaves only 640 benefit days.
The employer must contribute at least 50% of the insurance premium (which the contract does not explicitly articulate).

Counsel Recommendation: To avoid a court declaring the insurance solution non-equivalent (which would revive statutory salary continuation under the Zurich scale alongside insurance benefits), consider clarifying that the insurance provides 720/730 daily allowances and that Future Robotics covers at least 50% of the premium.

C. Notice Period in Subsequent Years of Service (Clause 10.1)

The Issue: Clause 10.1 establishes a flat 1-month notice period indefinitely.
Mandatory Law: Under Art. 335c para. 1 CO, statutory notice periods increase to 2 months in service years 2–9 and 3 months thereafter. While Art. 335c para. 2 CO allows parties to agree in writing on a 1-month notice period for later years (since it is not below the statutory 1-month floor), this is an atypical restriction on senior technical personnel.

D. Liquidated Damages Quantum for Confidentiality Breach (Clause 11.2)

The Issue: Clause 11.2 imposes liquidated damages equal to a full annual salary (CHF 105'000.00) for any confidentiality breach.
Mandatory Law: Under Art. 163 para. 3 CO, excessively high contractual penalties are subject to mandatory reduction at judicial discretion. An automatic 12-month salary penalty regardless of fault or actual economic harm is frequently reduced substantially by Zurich labor courts.

E. Unilateral Terms Modification Reservation (Clause 13)

The Issue: Clause 13 purports to reserve the employer's right to make reasonable changes to employment terms upon simple text-form notification.
Mandatory Law: Essential employment terms (salary, role, working hours) cannot be unilaterally modified to the employee's detriment under Swiss law. Any material modification requires either mutual consent or a formal dismissal with offer of re-employment under altered terms (Änderungskündigung), respecting notice periods and protections against abusive dismissal.
