Promotion of Gender Balance among Directors

of Listed Companies Regulations, 2024

IN EXERCISE of the powers conferred by article 20(b) of the

Equality for Men and Women Act, the Minister responsible for

equality has made the following regulations:-

(1) The title of these regulations is the Promotion of Citation,

Gender Balance among Directors of Listed Companies Regulations, commencement

and scope.

2024. (2) These regulations shall come into force on such date as the

Minister responsible for equality, may by notice in the Gazette

establish and different dates may be so established for different

provisions and, or purposes of these regulations.

(3) The scope of these regulations is to transpose Article 10 of

the Directive (EU) 2022/2381 of the European Parliament and of the

Council of 23 November 2022 on improving the gender balance

among directors of listed companies and related measures.

In these regulations, unless the context otherwise requires

Interpretation.

"Act" means the Equality for Men and Women Act;

"Authority" shall have the same meaning as assigned to it

in article 2 of the Malta Financial Services Authority Act;

"Commission" means the National Commission for the

Promotion of Equality for Men and Women appointed in

accordance with article 11 of the Act and includes any officer of

the Commission duly authorised by it to act on its behalf for any

specific purpose under the Act;

"Directive" means Directive (EU) 2022/2381 of the

European Parliament and of the Council of 23 November 2022

on improving the gender balance among directors of listed

companies and related measures;

"listed company" shall have the same meaning as assigned

to it in article 2(1) of the Financial Markets Act.

(1) The Commission shall promote, analyse, monitor and

support gender balance on boards of listed companies in order to

compile a yearly report on the implementation of the Directive.

(2) The Commission shall, in order to carry out its functions in

accordance with this regulation, insofar as required, be provided by

the Authority with information about the gender representation on the

boards of listed companies and with information regarding the

measures taken with a view to achieving the applicable objectives for

the purposes of gender balance on boards of listed companies, in

accordance with the Directive.
