COMPANIES ACT

(CAP. 386)

Companies Act (Fees) (Amendment) Regulations, 2017

IN exercise of the powers conferred by article 425 of the

Companies Act, the Minister for Finance, acting on the advice of the

Malta Financial Services Authority, has made the following

regulations:-

(1)

The title of these regulations is the Companies Act Citation and

(Fees) (Amendment) Regulations, 2017, and shall be read and commencement.

(2) These regulations shall come into force on the 1st January

2017 and shall apply to fees falling due on or after the said date.

(a)

paragraphs (d), (e), (f) (g), (h), (i), (j), (k), (l), (m),

(n), (o), (p), (q), (r), (s), (t) and (u) thereof shall be renumbered

as paragraphs (e), (f) (g), (h), (i), (j), (k), (l), (m), (n), (o), (p),

(q), (r), (s), (t), (u) and (v) respectively;

(b)

immediately after paragraph (c) thereof there shall

be added

(i) in the first column thereof, the words "(d)

Registration of a European Economic Interest Grouping:";

and

(ii) in the second column thereof, the fee of

"€1,000";

(c)

in the first column of paragraph (j), as renumbered,

thereof, for the words "annual return of an investment company

with variable sare capital:", there shall be substituted the words

"annual return of an investment company with variable share

capital:";

(d)

paragraph (l), as renumbered, thereof shall be

amended as follows

(i)

for the first column thereof, there shall be

substituted the following

"(l) Review by the Registrar of a prospectus

where Malta is the home member state, other than

a prospectus in relation to securities in respect of

which an application for admission to listing has

been made or is to be made to the listing

authority:"; and

(ii) in the second column thereof, the prescribed

fee of "€1,200", shall be substituted by the fee of "€1,500";

(e)

in the first column of paragraph (m), as

renumbered, thereof immediately after the words "the

Continuation of Companies Regulations", there shall be added

the words "or the Transfer of Registered Office of a European

Company (SE) Regulations";

(f)

in the second column of paragraph (n), as

renumbered, thereof the prescribed fee of "€0.35" shall be

substituted by the fee of "€0.50";

(g)

for paragraph (o), as renumbered, thereof

(i) for the first column thereof, there shall be

substituted the following

"(o) For certified true copies

(i)

in unbound form

(ii)

in bound form:"; and

(ii) in the second column thereof, there shall be

inserted the fee of "€5" next to indent (i) and the fee of

"€10" next to indent (ii);

(h)

in the second column of paragraph (p), as

renumbered, thereof the prescribed fee of "€7.50" shall be

substituted by the fee of "€10";

(i)

paragraph (q), as renumbered, thereof shall be

amended as follows

(i) in the first column thereof, immediately after

the words "article 80 of the Companies Act,", there shall

be added the words "and in terms of regulation 21 of the

Merchant Shipping (Shipping Organisations - Private

Companies) Regulations,"; and

(ii) in the second column thereof, the prescribed

fee of "€25",shall be substituted by the fee of "€50";

(j)

in the second column of paragraph (r), as

renumbered, thereof the prescribed fee of "€15", shall be

substituted by the fee of "€20 per page";

(k)

in the second column of paragraph (s), as

renumbered, thereof the prescribed fee of "€8 per name" shall

be substituted by the fee of "€10 per name";

(l)

in the first column of paragraph (v), as renumbered,

thereof immediately after the words "inspections and downloads

of documents" there shall be added the words "in electronic

format"; and

(m)

immediately after paragraph (v), as renumbered,

thereof there shall be added the following

(i)

in the first column thereof, the words

"(w) Issue of certificate upon the conversion

of a commercial partnership in terms of article 332

of the Companies Act

(x) Issue of altered certificate of

registration upon change of status of a company in

terms of article 213 of the Companies Act:"; and

(ii) in the second column thereof, the fee of

"€100" next to each of the new paragraphs (w) and (x).
