IN exercise of Ihe powers ~onrem:d by sections 86 and 113 of the

Co-oJxrative Soc:ic:ties Aa , the Minisler of Educalioo and Human

Reso urces , has made the followi ng regulat;ons:-

These regulation$ may be cited as the Co-Qperative SQ(ietj(,s

(Cent ral Co-operative Fund) Regulalions, 1993.

1. (1) I n these regulatiuns: -

MACI~ mUM the Co-operatiVC' Societies Act; and

"Maha" tr.as the same meaning asis assigned to it in section 124

o(lhe Con5tiIUlion.

(2) Wo rds and phrases not defined in these regulations shall

have the same meaning as i$ 85S.igned 10 them in the Act .

(I) There shall be a Commillee which shall be known as the

Central Co-operative Fund Commillee, whO$C functions shall be:-

\0 administer the Central Co-ope rative Fund

(b) 10 promote c-operative education and training for the

g<=neral developme nt of the c:o-optr1ltive movement in Malta, and

to carry out all activities relating tbereto;

(e) to finance educational and training programmes relating

10 Ihe promotion and development of lbe oo-operative movement

for members of and personnel engaged byoo-uperaliveli and olher

penons who may actively contribute 10 Ihe promotion of Ihe c0-

operative movement ;

(d) 10 oommis.$ion sludies and researeh on particular Ireas of

(':(HJperalive activity or any individual co-operative society in

Malta, wilh a view to assessing pasl perfonnan<:e and discovering

possible potential for futu re operation;

(e) 10 produce or publish ro-operative educational malerial

for use by members of co-operative liOcielieli, sludcnts and the

general public wilt. a view to promoting co-operative ideals and

practice;

(f) to sponsor participa tion by ro-operatives in tnode fairs or

5pi'l:iali§cd fairs for the promolion of co-operative IiOdc lics or the

CCHJperative movement in general.

(I) The eo.operatives Boardshallappointthe Commilleeof

the Ce ntral Co-operative Fund, in acrordanec with the provisionsof thi$ Co-opt, .....

section.

The Central Co-operative Fund Commitleeshall consi$t

(a) a chainnan, who aha ll be the o.ainnan of the C0-

operatives Board or, in hi$ absence. the Actin, o.ainnan of !he

said Board;

(b) ooe member of the Co-Operatives Board nominated by

!he said Board;

(c) a member nominated by the Mini$ter and who, in the

opinion of tbe Minister , is expemnccd in matters relating to c0-

operative 5OCietic:s;

(d) four members representing the co-operative liOcieties.

For this puTpOSC every co-operative society has the riSht to

nominate ooe representative who shall be a comminee membe r or

I full time employee OCCIIpying I managerial post. These members

arc to be elected;ll; follows:_

(I) onc member nominated by that co-ope rative society

which during the IHt two calendar years shall have contributed

the highest amount of funds to the Central Co-Operative

Fund

(ii) two members being one each nominated by the c0-

operative societies engaged in agricultural and, or rlShing

activities;

(iii) one member nominated by the co-operative

societies other than those engaged in agricultural and, or

fishing activities

Provided that in no event may a single co-operltive

society nominate more than one member.

(3) The Sc=:tary of the Co-Operatives Board shall serve as

Secretary of the Committee. but shall 001 be entitled to mte.

(4) lbc members of the Committee shall be appointed for a

period of two years: provided that subject to the foregoing provisions of

this paragraph , the members nominated in terms of sub-paragraphs (I) ,

(b) and (d) of paragraph (2) of this regulation, shall retaIn office only as

Ion& as they remain members oftbe Co-operatives Board orcommiuee

of management ... hicb had submitted tbeir nomination .

(5) At tbe end of their tenn of office, all members of the

Comminee shall be eli&ible for re· appointment solely for onc other

tenn . The o.airman shall be eligible for re·appointment for further

tenn5 without li mitation.

(6) A member of the Committee shall be paid such

ho norarium as the Committee, with the concurrence of tile Ministe r.

may from time to time determine. Such hooorariurn shall be paid 01,11 of

the Central Co-Opera tive Fund.

(7) When a vacanc:y(l(X;Ur5 for whatever reason in r~ of

a member orthe Comminee appointed in tenus of paragraph (2) (b) of

this regulation, such vacancy lhaIl be filled by anothe r member or lhe

OK>pc ratives Board nominated by the said Board.

(8) When a vacancy occurs for wh atever rca!Kln in respect of

a member o{the Comminu appointed in terms of paragraph (2) (d) of

this re,.,lation, such va<:lIncy shall be filled by the person who had

obtained the highest number of VOles from among the non-e lected

candidates in the last preceding elections in the $aItIe category

Provided that a member who assumes office in virtue of

paragraphs (7) or (8) of Ihis regulation shall only hold office for the

remaining period of the original term of office of the member he

replaces.

(9) When a vacancyoccurs for whatever re8.'lOl1 in respect of

a member of the Commillee appointed in lenns of paragraph 2 (c) of

this regulation, such vacancy shall be filLed by anot ller member

nominated b~ the Ministe r.

The legal and judicial representation of the Comm illee shall be

vested in the Chainnan or . in his absence, in any other member of the

Comm illee wbidl the Commillee may from time to time appoint ferr the

Provided that the Commillee may appoint an yone Or more of

its members to appear in ilS name and OD its be half in any judicial

proceedings. Or on any act, contract or doeu.mcntwhatsoever.

( I) Meetings of the Commillee ~halL be convened by the

Secre tary ~ting on inSlruetion~ of the Chainnan. and ~haU be held as

?;;TO!:-. frequently 1$ necessary, hut in any case not IeS$ than once in every three

months.

(2) The quorum at meetings of the Commillee shall consist

of four members, including the Chainnan or in his abscnce the Acting

Chainnan, and one otller member nominated in tenns of regulation 4

(2) (b) or (e).

(3) Subject 10 the provisions of the last preceding paragraph.

the Commillee shaH not be precluded from holdin, any meeting or from

acting in any matler me rely by reason ofany vacancy in its membe rshi p.

(4) All desisions of the Commillee shall be taken by I simple

majority of vot cs taken by tile membcn present and votinll . The

Chainnan , Or in his absence the Acting Chainnan. shall in the case of an

equality of votes, have a casting vote in additi on to his original vote.

(1 ) Every payment made OUI of the Cen tral Co-opcnlive

Fund shall be supported by a voucher signed by the Chairman and onc

other member of the Committee .

(2) Paymenll shall he made by cheque which shall be signed

by the Chairman or Iny other member of the Committee.

,. TIle Committee shall keep proper acrounts and all other

necessary records in respect of tbe financilltransaetiom of the Fund.

1(1. (1 ) The I ccounts of lhe Fund shall be made up to the list

December of each year and shan be audited by a J)C'r50n qualified 10 be

appointed as auditor of a compan y in aCC()rdance with the applicable

enactment from time to lime in force, Bnd authorited forlhe purpose by

the Co.opcralives Board. The auditor so appointed shall at III

reasonable times have full and free access to all accou nting and other

records relating to lhe financial lrans.ac1 ions of the Fund.

(2) The luditorshall in partM:lilar report on-

(a)

whether the financial sta lernenll show • true: and flir

~iew the financial trBnsactions and the Slate of affairs of the Fund;

(b)

whether proper accounling and olher records have been

kept;

(c ) whether tbe receipts , pa yme nts , deposits and

invatments of monies in respect of the Fund have been effected in

accordance with the provi5ionsof the Act and of these regulations;

(d ) any other relevant matters arising from the audit.

(I) There shall be held at least once in every twO calendar

years a general meeting of the Commill ees of Management .

(2) The functions of the gene ral meeting shall be the

following

(a) to consider the audi tors report on the accounts and

workinp of the Fund . and to examine and. if deemed fit , 10

approve the l udi ted financial WlternenlS oflhe Fund;

(b) 10 elect the representatives of the Co-operative Societies

to sit on the Commillee in terms of regula lion 4 (2) (d) ;

(c)

10 appoi nt the auditors of the Fund.

() Every ro-opellltive $Ociety shaD be entitled 10 nominale

(4) Fourteen days notia: shall be given 10 all CXK>pellltive

societies of the dale and venue of a general meeting.

(S) The quorum at a general meeting shiill oonsist of

delegates representing not less than fifty per cent of a1llhc delegates

entitled to alleoo and vote at the meeting.

Any notice. oommunication or other documen!. and any

other authorization issued by or on behalf of the Comm;lIec shan be

signed by the OIaifOlao or by the Secretary or by anoth<::r pcl'$(ln , duly

authortized in writing by the Chairman to act for the PUrpo!iC .

Il. Any notice , communication or other documcm addressed 10

the oommillee shall be addre~~d to the Chairman.
