EXPLANATORY NOTE.
(This note is not part of the Instrument and does not purport to be a legal interpretation.)
This Order gives the force of law to the Convention between Ireland and Turkey for the avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income and capital gains, which is set out in the Schedule to the Order. The effect of the Convention is summarised below.
This Convention with Turkey, which was signed in Dublin on 24 October 2008 is comprehensive in scope and is based on the OECD Model Convention.
The taxes covered by the Convention are, for Ireland, Income Tax, Corporation Tax and Capital Gains Tax: for Turkey, the Income Tax and the Corporation Tax.
The Convention provides for the allocation of taxing rights between Ireland and Turkey and for the granting of relief from double taxation with regard to items of income and capital gains which, under the laws of Ireland and the laws of Turkey, may under the terms of the Convention be taxed in both countries.
Where both countries continue to have taxing rights, for example in the case of dividend, interest and royalty income, business profits arising through a permanent establishment which a person resident in one country has in the other country, or in the case of capital gains arising from the disposal of immovable property, the Convention provides that the country of residence of the recipient of the income or gain will give credit against its tax on the income or gains for the tax paid in the other country on the same income or gains. Irish direct investors (i.e. Irish companies holding 10% or more of the voting power of the paying company) in receipt of dividends from a Turkish company are granted credit for the tax paid by the Turkish company on the profits out of which the dividends are paid (known as credit for underlying tax).
Reduced rates of withholding tax are provided for in the case of dividend, interest and royalty income. With respect to dividend income, in the case of Turkey, the Convention provides for a reduced rates of 5% to the extent that dividends are not exempt from tax in Turkey and that they are subject to the full rate of corporation tax there and where the recipient is a company that owns 25% of the company paying the dividends, 10% where the recipient is a company that owns 25% of the company paying the dividends; and 15% otherwise. In the case of Ireland, the Convention provides for a reduced rate of 5% where the recipient is a company that owns 25% of the company paying the dividends; and 15% otherwise. Source state taxation on interest is limited to 10% where interest is beneficially owned by a resident of a Contracting State and where it is paid in respect of a loan or other debt claim for a period exceeding two years or if the interest is received by a financial institution; otherwise source country taxation of interest is limited to 15%. Source State taxation of royalties is limited to 10% of the gross amount of the royalties.
The Convention also provides for safeguarding nationals and enterprises of one country against discriminatory taxation in the other country, for consultation between the competent authorities of the two countries for the purpose of resolving any doubts or difficulties arising as to the interpretation or application of the Convention and for the exchange of such information between these authorities as is necessary for carrying out the provisions of the Convention or of the domestic law of either country in relation to the taxes covered by the Convention.
The Convention will enter into force when each country notifies the other of the completion of its procedures for bringing the Convention into force. It will thereupon have effect in both countries for tax periods beginning in the following year.
3. In no case shall the provisions of paragraphs 1 and 2 be construed so as to impose on a Contracting State the obligation
(
a
) to carry out administrative measures at variance with the laws and administrative practice of that or of the other Contracting State;
(
b
) to supply information which is not obtainable under the laws or in the normal course of the administration of that or of the other Contracting State;
(
c
) to supply information which would disclose any trade, business, industrial, commercial or professional secret or trade process, or information the disclosure of which would be contrary to public policy (ordre public).
4. If information is requested by a Contracting State in accordance with this Article, the other Contracting State shall use its information gathering measures to obtain the requested information, even though that other State may not need such information for its own tax purposes. The obligation contained in the preceding sentence is subject to the limitations of paragraph 3 but in no case shall such limitations be construed to permit a Contracting State to decline to supply information solely because it has no domestic interest in such information.
5. In no case shall the provisions of paragraph 3 be construed to permit a Contracting State to decline to supply information solely because the information is held by a bank, other financial institution, nominee or person acting in an agency or a fiduciary capacity or because it relates to ownership interests in a person.
Article 27
