Riigikogu — Tallinna Lennujaama projekti garantiileping Eesti Vabariigi ja Euroopa Investeerimispanga vahel — RT II, 1998, 39, 83

Garantiilepingu ratifitseerimise seadus Mitteametlik tõlge FI Nr 0.9835 Lepingu on sõlminud: Eesti Vabariik, mida esindab rahandusminister hr Mart Opmann, edaspidi «Garant», ühelt poolt, ja Euroopa Investeerimispank, peakontori asukohaga 100 Boulevard Konrad Adenauer, Luxembourg--Kirchberg, Luksemburgi Suurhertsogiriigis, mida esindab asepresident hr Wolfgang Roth, edaspidi: «Pank», teiselt poolt. Kuna: -- Euroopa Liidu Nõukogu on otsustanud jätkata oma tegevusplaani Euroopa Ühenduse abi kohta Eestile toetamaks tema püüdlusi viia ellu poliitilisi ja majandusreforme. Euroopa Investeerimispanga juhatus, lähtudes sellest otsusest, nõustus 1997. aasta 9. juunil andma laene Eesti investeerimisprojektidele. Pangalt on taotletud krediiti AS Tallinna Lennujaamale (edaspidi «laenusaaja») Tallinna Lennujaama projekti rahastamiseks. Artikkel 2 GARANDI KOHUSTUSED 2.01. Garantii andmine Garant garanteerib käesolevaga, kui esmakohustuslik isik ja mitte ainult kui käendaja, garantii jõustumisel kõikide laenusaaja Panga suhtes laenulepingust tulenevate rahaliste kohustuste täieliku ja täpse täitmise, sealhulgas kõikide intressimaksete ja muude laenulepingu sätete kohaselt laenusaaja poolt Pangale tasumisele kuuluvate summade piiranguteta, komisjoni- ja lisatasudeta ning muude kuludeta tasumise. 2.02. 3.03. Garandi poolt makse tegemise tähtajaks on nõude esitamisele järgnev päev. 3.04. Juhul, kui Pank on oma nõude esitanud, on garandil õigus laenulepingus sätestatud tingimustel täita viivitamatult kõik laenusaaja laenulepingu järgi selleks hetkeks võetud rahalised kohustused. Artikkel 4 NÕUDE LOOVUTAMINE 4.01. Kui garant on teinud makseid Pangale, siis Pank annab talle sellise maksega seoses samas ulatuses üle nõudeõiguse laenusaaja vastu; sellist loovutatud nõuet ei saa pöörata Panga vastu. Artikkel 5 LAENULEPINGU MUUTMINE 5.01. Artikkel 6 EUROOPA LIIDU GARANTII 6.01. Käesolev garantii ei sõltu Pangale Euroopa Liidu poolt antud garantiidest. Garant loobub käesolevaga õigusest taotleda Euroopa Liidult osalust või vabastust. Kui Euroopa Liit teeb garanteeritud summade arvel Pangale makseid, on tal õigus taotleda garandilt tasutud summade hüvitamist. Artikkel 7 ERIKOHUSTUSED 7.01. Garant kohustub rakendama omalt poolt selliseid meetmeid, mis on vajalikud võimaldamaks laenusaajal täita tema laenulepingus sätestatud kohustusi. Artikkel 8 MAKSUD, TASUD JA KULUD 8.01. Artikkel 9 LEPINGU JURIIDILINE STAATUS 9.01. Kohaldatav seadus Käesoleva lepingu poolte vahelised juriidilised suhted, lepingu ülesehitus ja kehtivus lähtuvad Luksemburgi Suurhertsogiriigi seadustest. 9.02. Teostamise koht Käesoleva lepingu teostamise kohaks loetakse Panga peakorter. 9.03. Kohtualluvus Pooled allutavad ennast käesolevaga Euroopa Liidu Kohtu jurisdiktsioonile ning kõik vaidlused seoses garantiilepinguga edastatakse sellele kohtule. Euroopa Liidu Kohtu otsused on lõplikud ja võetakse mõlema lepingupoole poolt piirangute ja reservatsioonideta täitmiseks. 9.04. Garandi aadress toimingute teostamiseks Garant määrab oma esindajaks tema nimel kirjade, teatiste, õiendite, korralduste ja kohtuotsuste vastuvõtmiseks ning muude juriidiliste toimingute teostamiseks Eesti Vabariigi Saatkonna aadressil av. Isidore Gerard 1, 1160 Brüssel, Belgia. 9.05. Käesoleva garantiilepingu on parafeerinud Panga poolt vanemnõunik hr Robert Wagener. The Bank has been requested to grant credit to Tallinn Airport Limited (hereinafter called "the Borrower") for the purpose of financing the Tallinn Airport Project; -- A Framework Agreement concerning this financial cooperation was signed by the Bank and the Republic of Estonia on 20 September 1997 and will apply to this Guarantee Agreement; -- By an agreement (hereinafter called "the Finance Contract") dated 23 October 1997 and made between the Bank and the Borrower, the Bank has agreed to establish in favour of the Borrower a credit in an amount equivalent to 10 (ten) million ecus; -- The obligations of the Bank under the Finance Contract are conditional upon the prior or simultaneous execution and delivery by the Republic of Estonia of a guarantee of performance by the Borrower of its financial obligations under the Finance Contract, and the delivery of a favourable legal opinion; Now therefore it is hereby agreed as follows: Article 1 FINANCIAL CONTRACT 1.01. The Guarantor declares that it is well acquainted with the terms, conditions and clauses of the Finance Contract, a true copy of which as signed by the parties is delivered to it. Article 2 UNDERTAKINGS BY THE GUARANTOR 2.01. Constitution of guarantee The Guarantor, as primary obligor and not merely as surety, guarantees entirely the full and punctual performance of all the monetary obligations of the Borrower to the Bank under the Finance Contract, including all payments of interest without any limitation, commissions, incidental charges and other expenses and all the sums being due by the Borrower to the Bank under any provision of the Finance Contract, when the guarantee is enforced. 2.02. The Guarantor hereby waives irrevocably any objection or exception in law to the total or partial enforcement of this guarantee. It undertakes to perform its obligations upon request in writing or by telegram by the Bank whenever demand is made and to pay the sums due without any limitation, retention or condition, without the Bank having to furnish any special evidence in support of its request other than the reason for the demand under this guarantee. Article 5 MODIFICATION OF THE FINANCE CONTRACT 5.01. The Bank shall inform the Guarantor of changes, which do not increase the obligations of the Guarantor, made to the Finance Contract by the Bank for the purpose of improving or strengthening the position of the Bank towards the Borrower. The Bank shall have the right to grant to the Borrower extensions of time of up to three months in respect of each repayment of principal or payment of interest and any other incidental expenses as it sees fit, without being bound to submit its decision to the Guarantor. Any modifications in the Finance Contract other than those referred to in the above paragraphs of this Article 5 shall be submitted for approval to the Guarantor. The latter may refuse its approval only if the proposed modifications are likely to be prejudicial to it in its capacity as guarantor. Article 6 GUARANTEE OF THE EUROPEAN COMMUNITY 6.01. This Guarantee is independent of guarantees give to the Bank by the European Community. The Guarantor hereby waives any right to contribution or indemnity from the European Community. If payment is made to the Bank by the European Community on account of any Guarantee Sum, the European Community may recover from the Guarantor the amount so paid by it.
