Artikkel 1. Mõisted Memorandumis kasutatakse järgmisi mõisteid: 1. lubatud koguse ühik – Eesti riiklikus registris vastavalt Kyoto protokollile emiteeritud ühik, mis on võrdne 1 tonni süsinikdioksiidi ekvivalendiga; 2. baasjoon – projektikokkuleppe juurde kuuluvas kinnitamisaruandes kirjeldatud olukord, eriti kasvuhoonegaaside heitkoguste olukord, mis realiseeruks juhul, kui projekti ellu ei viidaks; 3. heitkoguste vähendamine – projekti kestuse jooksul projekti teostamise tulemusena saavutatud kasvuhoonegaaside heitkoguste vähenemine võrreldes baasjoonega; 4. heitkoguste vähendamise ühik – heitkoguste vähenemise põhjal Eesti riiklikus registris emiteeritud ühik, mis võrdub 1 tonni süsinikdioksiidi ekvivalendiga; 5. kasvuhoonegaasid – Kyoto protokolli A lisas loetletud gaasid: süsinikdioksiid (CO2), metaan (CH4), dilämmastikoksiid (N2O), fluorosüsivesinikud (HFCd), perfluorosüsivesinikud (PFCd) ja väävelheksafluoriid (SF6); 6. sõltumatu üksus – üksus, kelle Taani määrab Eestiga konsulteerides, näiteks Taanist, Eestist ja projekti üksustest sõltumatu ja erapooletu keskkonnaauditi ettevõte; 7. projektikokkulepe – käesoleva memorandumi artikli 4 kohaselt määratud riigiasutuste sõlmitud kokkulepe; 8. kinnitamine – menetlus, mille käigus sõltumatu üksus määrab projekti dokumentatsiooni, sealhulgas baasjoone ja seirekava nõuetekohasuse; ja 9. tõendamine – menetlus, mille käigus sõltumatu üksus või Eesti kinnitab projekti tulemusena saavutatavat kasvuhoonegaaside heitkoguste vähenemist. Artikkel 2. Artikkel 3. Reguleerimisala 1. Memorandumit kohaldatakse menetlustele, mis aitavad – vastavalt Kyoto protokolli artiklile 6 – kaasa ühisrakendusprojektide arendamisele ja elluviimisele Eestis ning ühisrakendusprojektide tulemusena saavutatavate heitkoguste vähendamise ühikute projektikokkuleppes kokku lepitud osa üleandmisele Taanile. 2. Poolte nõusolekul võib enne 2008. aastat ühisrakendusprojektidega saavutatava heitkoguste vähenemise muuta ajavahemikuks 2008–2012 lubatud koguse ühikuteks ja müüa need Kyoto protokolli artikli 17 alusel Taanile. Artikkel 4. Pädevad asutused 1. Pooled määravad riigiasutused, kes hakkavad käesolevat vastastikuse mõistmise memorandumit rakendama. Määratud asutused on oma pädevuse piires volitatud: a) kiitma heaks ühisrakendusprojekte; b) sõlmima projektikokkuleppeid; c) kokku leppima kasvuhoonegaaside lubatud koguse ühikute ja heitkoguste vähendamise ühikute ülekandmise, omandamise ja müügi eritingimustes; d) kokku leppima kinnitamismenetluse tingimustes; e) kokku leppima heitkoguste vähenemise tõendamises; f) tagama, et heitkoguste vähendamise ühikute ülekandmisest saadavat tulu kasutatakse sama projekti arendamiseks; g) koordineerima kliimamuutuste konventsiooni sekretariaadile projektiaruannete esitamist; h) leppima kokku kõigis muudes ühisrakendusprojektide elluviimisega seotud küsimustes. 2. Pooled esitavad teineteisele pädevate asutuste nimed ja aadressid. Memorandumi allkirjastamise ajal on Taani määranud pädevaks riigiasutuseks Taani Keskkonnaministeeriumi Taani Keskkonnakaitse Agentuuri. Artikkel 5. Eesti panus 1. Eesti aitab kaasa projektide arendamisele ja elluviimisele, toetades projektide teostamisest huvitatud võimalikke kasusaajaid teabega ning kiites vastavalt Kyoto protokolli artikli 6 lõikele 1 ametlikult heaks ühisrakendusprojektid, mis vastavad ühisrakendusprojektide suhtes kehtestatud riigisisestele nõuetele. 2. Artikkel 6. Taani panus Taani aitab kaasa heitkoguste vähendamise projektide arendamisele ja rakendamisele, hankides nende projektide elluviimise tulemusena tekkivaid heitkoguste vähendamise ühikuid või võttes Eestilt vastu ja registreerides Eesti eraõiguslike juriidiliste isikute hangitud heitkoguste vähendamise ühikuid, saades nende ühikute lõppomanikuks. Projektileping hõlmab Taani poole ametlikku heakskiitu projektile vastavalt Kyoto protokolli artikli 6 punktile 1. Artikkel 7. Maksete tegemise kord Ühisrakendusprojekti maksete tegemise kord lepitakse kokku iga projekti jaoks eraldi ning see pannakse ametlikult kirja projektikokkuleppes. Artikkel 8. 2. Pooltel on õigus teavitada teist poolt kirjalikult memorandumi kavandatavast muutmisest või lõpetamisest. Memorandumi raames ellu viidavad projektid on jõus, kuni projektikokkulepetes ette nähtud heitkoguste vähendamise ühikud on üle kantud. Teoksil olevate projektide suhtes jääb memorandum jõusse. Sõlmitud Tallinnas 25. septembril 2003. a kahes eksemplaris eesti ja inglise keeles, millest mõlemad tekstid on autentsed. Lahknevate tõlgenduste korral on ülimuslik ingliskeelne tekst. The Estonian Party will transfer the agreed and prepaid amount of ERUs, within the agreed period for each project in the project agreement, as long as the JI-projects generating the ERUs keep generating emission reductions, which can be verified by an independent entity. The approval must contain binding affirmation of the Estonian Party that it will transfer the agreed and procured part of the resulting ERUs to the Danish Party in accordance with Article 6 of the Kyoto Protocol. The project agreement will also confirm that the transfer will be free of any specific joint implementation charges beyond the agreed payment for ERUs. In case of changes in national policies (energy, environment) of the Estonian Party that result in difficulties of generation and delivery of ERUs by the project executor, the Estonian Party will do its utmost to have the ERUs agreed upon in the project agreement transferred in a practical manner to the Danish Party. Article 6. Contribution of the Danish Party The Danish Party will contribute to the development and implementation of emission reduction projects by the procurement of ERUs originating from those projects or by acceptance and registration of ERUs procured by private parties from the Estonian Party being the ultimate owner of such units. The project agreement includes the formal Danish approval of the project in accordance with Article 6.1 in the Kyoto Protocol. Article 7. Payment schemes Payment schemes for Joint Implementation projects will be agreed on a case by case basis and formally reflected in the project agreements. Article 8. Parties shall be entitled to notify in written form the other Party about proposed amendments or termination of the present Memorandum. The projects being executed within the framework of the present Memorandum shall be in force until emission reduction units provided by the project agreements are transferred. The Memorandum shall be in force for those projects. Done at Tallinn, on 25th September 2003 in two originals in Estonian and English languages, all texts being authentic. In case of divergence of interpretation, the English text shall prevail.
