Art. 809 OR
Alle Gesellschafter üben die Geschäftsführung gemeinsam aus. Die Statuten können die Geschäftsführung abweichend regeln.
Als Geschäftsführer können nur natürliche Personen eingesetzt werden. Ist an der Gesellschaft eine juristische Person oder eine Handelsgesellschaft beteiligt, so bezeichnet sie gegebenenfalls eine natürliche Person, die diese Funktion an ihrer Stelle ausübt. Die Statuten können dafür die Zustimmung der Gesellschafterversammlung verlangen.
Hat die Gesellschaft mehrere Geschäftsführer, so muss die Gesellschafterversammlung den Vorsitz regeln.
Hat die Gesellschaft mehrere Geschäftsführer, so entscheiden diese mit der Mehrheit der abgegebenen Stimmen. Der Vorsitzende hat den Stichentscheid. Die Statuten können eine andere Regelung der Beschlussfassung durch die Geschäftsführer vorsehen.
