Das Gericht entscheidet nach Anhörung der Gesellschaft und des Aktionärs, der den Antrag auf eine Sonderuntersuchung in der Generalversammlung gestellt hat.
Entspricht das Gericht dem Begehren, so bezeichnet es die mit der Sonderuntersuchung betrauten unabhängigen Sachverständigen und umschreibt den Prüfungsgegenstand.
