Art. 689a OR

Die Mitgliedschaftsrechte aus Namenaktien kann ausüben, wer durch den Eintrag im Aktienbuch ausgewiesen oder vom Aktionär dazu schriftlich bevollmächtigt ist.

Die Mitgliedschaftsrechte aus Inhaberaktien kann ausüben, wer sich als Besitzer ausweist, indem er die Aktien vorlegt. Das Stimmrecht kann nur ausüben, wer bei der Teilnahme an der Generalversammlung Namen und Wohnort bekannt gibt.

Wer eine Inhaberaktie aufgrund einer Verpfändung, Hinterlegung oder leihweisen Überlassung besitzt, darf die Mitgliedschaftsrechte nur ausüben, wenn er vom Aktionär dazu schriftlich bevollmächtigt ist.

Der Verwaltungsrat kann weitere Formen der Berechtigung gegenüber der Gesellschaft zulassen, soweit die Statuten nichts anderes vorsehen.
