The High Court of Cassation and Justice dismissed as inadmissible the referral for the resolution of a question of law submitted by the Alba-Iulia Court of Appeal, thereby leaving the lower court to decide the case without a preliminary ruling. The dispute concerned whether the reduction of a company's share capital through a decrease in the number of shares or quotas constitutes a tax-deductible expense resulting from the depreciation of participation titles and bonds under tax law. The decisive legal basis involved the interplay between the commercial law provisions governing capital reduction (Article 1532 and Article 207 of the Companies Law No. 31/1990) and the fiscal criteria for deductibility (Article 21(1) of the Fiscal Code No. 571/2003 and Title II, point 23, letter i of the Methodological Norms approved by Government Decision No. 44/2004).
