Canton v. Corporation (Dissolution for Organizational Defects)
Legislator-Zusammenfassung
KI-generiertThe Canton, acting as the Commercial Register Office, sued the defendant corporation due to severe organizational deficiencies, specifically the lack of a legally mandated audit body, failure to register a waiver of the mandatory audit, and an invalid domicile. After the defendant failed to remedy these statutory violations within the granted deadline, the court, pursuant to legal provisions concerning organizational defects, ordered the dissolution of the company and its liquidation according to bankruptcy procedures, holding the defendant liable for court costs and compensation to the plaintiff.

KI-generiertThis provision justifies the main order to dissolve the defendant company and order its liquidation.
This procedural rule was cited in the reasoning as the basis for imposing court costs on the defendant.
This procedural rule was cited in the reasoning as the basis for ordering the defendant to pay an operational allowance (Umtriebsentschädigung) to the plaintiff.
Although mentioned in the context of appeal procedures (point 7), the actual cost orders (points 4 and 5) are based on ZPO articles, not LTF articles regarding costs. However, as the output requires only provisions explicitly cited in the dispositive orders (1-7), and no LTF provision is cited in orders 1-5 regarding costs or the main ruling, this is excluded based on the strict rule requiring explicit citation in the dispositive orders (1-7).
