The Supreme Court dismissed the appellant's appeal, leaving the Court of Appeal’s decision dismissing the lower court’s judgment on procedural grounds in force. The case involved a claim by a private entity against a commercial company to declare the company’s deregistration from the commercial register null and void *ab initio*, alleging that mandatory provisions prohibited the deregistration of entities with proven debts to the state budget. The highest court determined that the appellate court correctly required the appellant to clarify the procedural passive framework due to the misidentification of the respondent in the appeal instance, ruling that the identification of the wrong party constituted a procedural defect rather than a substantive illegality, thereby precluding review of the merits. The decision rests on the principle that the appeal stage is a continuation of the original proceeding where the passive party is determined by the initial parties, and procedural irregularities in naming the respondent justify dismissal for lack of procedural capacity without examining the merits of the nullity claim under the relevant deregistration legislation.

312 C. proc. civ.
