The High Court of Cassation and Justice, through the Panel for Resolving Legal Questions in Criminal Matters, established that the administrator of a limited liability company cannot be the active subject of the offense of failing to fulfill filing obligations under Article 272(1)(c) of Law No. 31/1990. This binding legal solution was provided in response to a referral by the Constanța Court of Appeal, which sought clarification on whether a director of a limited liability company could be criminally liable for this specific corporate offense. The decision determines the scope of the active subject of the crime defined in Law No. 31/1990, excluding the administrator of a limited liability company from its direct application, and is binding upon publication in the Official Monitor.
