The High Court of Cassation and Justice, acting through its Chamber for Resolving Issues of Law, admitted a request for preliminary ruling and established a mandatory interpretation for all courts: the insolvency judge can confirm a reorganization plan only if the creditors' meeting has passed an approval resolution, and the failure to reach a quorum due to the non-appearance of legally convened creditors at at least two meetings with the same agenda does not constitute a negative vote on the plan. This ruling resolves a dispute regarding the procedural requirements for confirming a reorganization plan under the insolvency framework, specifically addressing the ambiguity surrounding the necessary form of creditor approval and the legal effect of failed meetings. The decisive legal basis relies on the interpretation of Article 45(1)(k) and (o) and Article 138(4) in conjunction with Article 139(1) of Law No. 85/2014 on preventive and insolvency procedures.

ÎNALTA CURTE DE CASAŢIE ŞI JUSTIŢIE

Completul pentru dezlegarea unor chestiuni de drept

Minuta deciziei nr. 28 Dosar nr. 351/1/2022

Şedinţa din 9 mai 2022

ÎN NUMELE LEGII

DECIDE:

521 alin. (3) din Codul de procedură civilă.

Pronunţată în şedinţă publică astăzi, 9 mai 2022.
