The High Court of Cassation and Justice, acting as the Grand Chamber for resolving matters of law, admitted a preliminary reference from the Oradea Court of Appeal and issued a binding interpretation (Minuta Decision No. 55 of 2020) establishing that the statutory 10-day period for convening a general meeting commences from the date the invitation is delivered to the recipients, not the date of sending. This resolution addresses a dispute regarding the procedural validity of corporate governance actions under commercial law, specifically challenging the interpretation of statutory timelines for shareholder meetings. The decisive legal basis is Article 195, paragraph (3) of Law No. 31/1990 (revised) concerning the Code of Companies, applied in conjunction with Article 521, paragraph (3) of the Code of Civil Procedure, which mandates that such interpretations by the Supreme Court are binding on all lower courts.
