The High Court of Cassation and Justice issued a binding preliminary ruling, resolving a dispute regarding the annulability of corporate resolutions; the Court held that decisions adopted by a special shareholders' meeting are subject to judicial challenge via an action for annulment. This decision clarifies the procedural scope of corporate governance litigation by extending the grounds for challenging shareholder resolutions to special meetings, not just ordinary ones, under the Romanian legal framework. The decisive legal basis is the interpretation of Article 132 of Law No. 31/1990 regarding company laws, read in conjunction with Article 116 of the same law, which permits the annulment of such resolutions.
