The High Court of Cassation and Justice, in its panel for resolving legal questions, dismissed as inadmissible the preliminary reference submitted by the Bucharest Court of Appeal, leaving the lower court to proceed without a supreme court interpretation. The dispute concerned whether the failure to publish a general shareholders' meeting convener in the electronic bulletin of the financial supervisory authority, as required by the regulations for companies admitted to trading on the Rasdaq market, constituted a cause for absolute or relative nullity of the shareholders' meeting resolutions. The decisive legal basis was the procedural admissibility standards for preliminary references under Article 521(3) of the Civil Procedure Code, which required the High Court to determine that the request did not meet the necessary conditions for a binding precedent decision on the interpretation of the national securities market commission regulations.
