The court dismissed the appeal regarding a reduction of capital in a Portuguese joint-stock company through contract amendment. The plaintiff argued for the reduction's validity, but the court noted that such reductions require explicit shareholder consent unless specifically permitted by law. Consequently, the decision was based on the strict application of articles 85 and 94 of the Commercial Code, which mandate shareholder approval for this specific type of capital reduction.
