The court dismissed the appeal because the foundational decision and the appealed decision address fundamentally different legal issues regarding corporate structure and tax liability. While the foundational decision involved transforming a quota company into a limited company to avoid capital gains tax, the appealed decision concerned using a commercial society to shift income tax liability from individuals to the corporate entity. Since the factual and legal questions do not align, the court ruled that no opposition exists between the two decisions, rendering the request for unification of jurisprudence inadmissible.
