Agent v. Principal: Jurisdiction over Unpaid Commissions and Indemnities
Synthèse Legislator
Généré par l'IAAn agent initiated proceedings in the commercial court of Orléans against its foreign principal to recover unpaid commissions and notice indemnities, prompting the principal to argue that the Stuttgart jurisdiction was proper under the Brussels Convention. The Court of Cassation rejected the appeal, affirming that because the commercial agency contract was governed by French law according to the Hague Convention and was executed in France, the claims for arrears and indemnities, being inherent obligations of the contract rather than autonomous ones, correctly vested jurisdiction in the French court, rendering the principal's arguments regarding the Brussels Convention and the absence of a principal obligation moot.

AU NOM DU PEUPLE FRANCAIS
LA COUR DE CASSATION, PREMIERE CHAMBRE CIVILE, a rendu l'arrêt suivant :
Sur le moyen unique pris en ses deux branches, tel qu'il figure au mémoire en demande et est reproduit en annexe au présent arrêt ;
Attendu que la société DB Systèms, dont le siège est situé à Orléans, agent commercial de la société Lasercomb, sise à Stuttgart (RFA), a fait assigner celle-ci devant le tribunal de commerce d'Orléans en paiement, notamment, d'arriérés de commissions et d'indemnités de préavis ;
Attendu que la société Lasercomb fait grief à l'arrêt attaqué (Orléans, 19 septembre 2002) d'avoir, en écartant la compétence de la juridiction de Stuttgart qu'elle revendiquait au profit de celle du tribunal saisi, violé l'article 5,1, de la Convention de Bruxelles du 27 septembre 1968, modifiée et l'article L. 134-5 du Code de commerce ;
Attendu, d'abord, qu'après avoir relevé que le contrat d'agence était soumis à la loi française en application de l'article 6 de la Convention de la Haye du 14 mars 1978 sur la loi applicable aux contrats de représentation, et que ce contrat s'exécutait en France, la cour d'appel a exactement jugé que les obligations litigieuses ne constituaient pas des obligations autonomes par rapport au contrat mais seulement l'exécution ou la sanction d'une des obligations d'origine de sorte que, celles-ci devant s'exécuter en France, le tribunal de commerce d'Orléans était compétent ; qu'ensuite, ayant estimé qu'aucune des obligations litigieuses ne pouvaient être qualifiées d'obligation principale, la cour d'appel n'avait pas à rechercher si l'ensemble des demandes pouvaient être localisées au lieu d'une obligation principale ; que le moyen ne peut être accueilli ;
PAR CES MOTIFS :
REJETTE le pourvoi ;
Condamne la société Lasercomb aux dépens ;
Ainsi fait et jugé par la Cour de Cassation, Première chambre civile, et prononcé par le président en son audience publique du huit novembre deux mille cinq.
