Seller v. Buyer: Immobilization Indemnity for Failed Financing Condition
Synthèse Legislator
Généré par l'IAThe Court of Cassation rejected an appeal concerning a real estate transaction where a preliminary sales agreement was subject to a condition precedent that the buyer obtain financing. The appellate court determined that the buyer's initial financing application of 900,000 francs was insufficient to cover the total project cost, especially after factoring in notary fees and subsequently included, but not contractually agreed upon, work costs, leading to the financing being refused by the bank. The court reasoned that by including the cost of unplanned works in the financing request, the buyer effectively prevented the condition precedent from being met through the original agreed-upon loan, thus deeming the condition fulfilled and awarding the immobilization indemnity to the seller.

LA COUR DE CASSATION, TROISIEME CHAMBRE CIVILE, a rendu l'arrêt suivant :
Sur le moyen unique, ci-après annexé :
Attendu qu'ayant constaté que le crédit de 900 000 francs accordé dans un premier temps à Mlle X..., pour une opération d'un coût total de 2 680 000 francs, lui avait été refusé dans un deuxième temps, le financement, calculé sur la base de la déclaration de l'emprunteur, n'étant plus équilibré après intégration des frais de notaire, en sus du prix des travaux, dans le coût final de l'opération d'un montant total de 2 880 000 francs, la cour d'appel, qui a relevé qu'il était acquis que Mlle X... ne disposait pas des capacités de financer ce projet global à l'aide d'un emprunt de 900 000 francs, a pu retenir qu'en incluant dans le financement de l'opération le coût de travaux non contractuellement prévus à la promesse, celle-ci avait fait obstacle à l'octroi du prêt par le Crédit mutuel enseignant de Meurthe et Moselle et déduire de ces seuls motifs, sans être tenue d'effectuer une recherche que ses constatations rendait inopérante, que la condition suspensive était réputée accomplie et l'indemnité d'immobilisation acquise à M. Y... ;
D'où il suit que le moyen n'est pas fondé ;
PAR CES MOTIFS :
REJETTE le pourvoi ;
Condamne Mlle X... aux dépens ;
Vu l'article 700 du nouveau Code de procédure civile, condamne Mlle X... à payer à M. Y... la somme de 1 900 euros ;
Ainsi fait et jugé par la Cour de Cassation, Troisième chambre civile, et prononcé par le président en son audience publique du onze janvier deux mille cinq.
