Furniture Delivery Contract Dispute: Apparent Mandate Established
Synthèse Legislator
Généré par l'IAThe case involved a claim against a furniture company for the delivery of furniture specified in a 1998 quote, upon payment of the remaining balance, which the appellate court upheld, leading to the appeal. The appellate court reasoned that because the seller, which was ultimately succeeded by the appealing company, retained ownership of the displayed furniture, and the purchase order and quote clearly bore the name of the original entity in bold with the operating company noted underneath in smaller print, the purchaser reasonably believed the operating company was acting under the trade name of the original entity; the Court of Cassation upheld this decision, finding that these facts sufficiently established the existence of an apparent mandate, thus legally justifying the condemnation.

AU NOM DU PEUPLE FRANCAIS
LA COUR DE CASSATION, PREMIERE CHAMBRE CIVILE, a rendu l'arrêt suivant :
Donne acte à la société GMV ameublement de son désistement au profit de M. X... Y... , ès qualités de liquidateur judiciaire de l'eurl Ideal cuisines et bains ;
Sur le moyen unique, pris en ses trois branches, tel qu'il figure au mémoire en demande et reproduit en annexe au présent arrêt :
Attendu que la société GMV ameublement, venant aux droits de la société Jean Gillet, fait grief à l'arrêt attaqué (Pau, 10 mars 2003 ) d'avoir condamné cette société à délivrer à M. Z... le mobilier décrit dans le devis du 6 juillet 1998, moyennant paiement par celui-ci du solde du prix de la vente ;
Attendu que l'arrêt relève, d'une part, que la société Jean Gillet était restée propriétaire des meubles exposés et mis en vente par l'eurl Ideal Cuisines et Bains, et, d'autre part, que l'examen du bon de commande et du devis antérieur permettait de constater que les documents portaient l'entête Jean Gillet, en caractères gras, et que l'eurl Ideal Cuisines et Bains était mentionnée en plus petits caractères au-dessous de sorte que M. Z... avait pu légitimement penser que cette société exerçait son activité sous l'enseigne Jean Gillet ;
Qu'en statuant par ces seuls motifs, qui caractérisent l'existence d'un mandat apparent, la cour d'appel a légalement justifié sa décision ;
PAR CES MOTIFS :
REJETTE le pourvoi ;
Condamne la société GMV ameublement aux dépens ;
Ainsi fait et jugé par la Cour de Cassation, Première chambre civile, et prononcé par le président en son audience publique du trois novembre deux mille quatre.
