Partner Reimbursement for Improperly Retained Capital in Dissolved Partnership
Synthèse Legislator
Généré par l'IAThe highest court upheld the decision ordering one former partner of a civil professional partnership of physical therapists, which had been judicially dissolved, to reimburse the liquidator 360,000 francs, representing a cash contribution made by the other partner that was improperly collected and retained by the ordering party rather than the company upon its formation, a fact that was not disputed. The court reasoned that because the company was deprived of this capital, forcing it to take out loans for acquisitions, the retention of the funds through a fictitious entry and deceptive argument justified the condemnation to pay the principal sum plus legal interest from the date of the partnership's creation, rendering the appellant's claims of procedural error and improper interest calculation unfounded.

LA COUR DE CASSATION, PREMIERE CHAMBRE CIVILE, a rendu l'arrêt suivant :
Sur le moyen unique, pris en ses deux branches, tel qu'exposé en demande et reproduit en annexe :
Attendu qu'a été judiciairement constatée la dissolution de plein droit de la société civile professionnelle de masseurs-kinésithérapeutes Seignan-Anton-Jones, antérieurement Seignan-Cruz-Jones, initialement constituée le 7 septembre 1989 entre MM. X... et Y... ; que pour condamner M. X... à verser au liquidateur la somme de 360 000 francs, l'arrêt (Toulouse, 13 juin 2001) expose qu'elle représente le montant de l'apport en numéraire de M. Y..., encaissé lors de la constitution par M. X... et non par la société, et retient, par motif non critiqué, qu'aucune délibération n'a été adoptée quant à l'annulation de cette créance sociale ; que pour dire M. X... tenu en outre des intérêts au taux légal dès la date de constitution, il relève que, de par la méconnaissance ainsi constatée de ses statuts, la société a été privée de 360 000 francs de trésorerie, argent conservé par l'intéressé grâce à une écriture fictive et à une argumentation dolosive, et a dû recourir à des emprunts pour financer des acquisitions d'immobilisation ; que le moyen, tiré de la violation des articles 455 du nouveau Code de procédure civile et 1153 du Code civil, est donc mal fondé en chacune de ses branches ;
PAR CES MOTIFS :
REJETTE le pourvoi ;
Condamne M. X... aux dépens ;
Vu l'article 700 du nouveau Code de procédure civile, rejette la demande de M. X... ;
Ainsi fait et jugé par la Cour de Cassation, Première chambre civile, et prononcé par le président en son audience publique du trois février deux mille quatre.
