Judicial Liquidator v. Company Directors on Liability for Corporate Deficit
Synthèse Legislator
Généré par l'IAIn an action brought by a judicial liquidator following the judicial liquidation of a company, the company's directors were sued to be held jointly and severally liable for the entirety of the deficit. The directors appealed the appellate court's decision ordering them to bear the entirety of the corporate liabilities, arguing the court exceeded its power under the Commercial Code by imposing the entire liability instead of just the insufficiency of assets. However, the Court of Cassation rejected the appeal because the appellate court had subsequently corrected its ruling, amending the disposition to correctly order the directors to cover the entirety of the "insufficiency of assets," thus rendering the ground for appeal moot.

AU NOM DU PEUPLE FRANCAIS
LA COUR DE CASSATION, CHAMBRE COMMERCIALE, FINANCIERE ET ECONOMIQUE, a rendu l'arrêt suivant :
Sur le moyen unique :
Attendu, selon l'arrêt attaqué, (Nîmes, 9 janvier 2003) qu'après la mise en liquidation judiciaire de la Société nouvelle de travaux publics (SNTP), son liquidateur judiciaire, M. X..., a assigné les dirigeants de cette société, MM. Y... et Z... A..., pour les voir condamner, in solidum, à combler l'intégralité de son insuffisance d'actif ;
Attendu que MM. Y... et Z... A... font grief à l'arrêt d'avoir dit qu'ils devront solidairement supporter l'intégralité du passif de la société SNTP et de les avoir solidairement condamnés, en conséquence, à payer à titre provisionnel une certaine somme au liquidateur alors, selon le moyen, que le juge saisi de l'action en responsabilité que prévoit l'article L. 624-3 du Code de commerce n'a pas le pouvoir de mettre l'intégralité du passif de la personne morale à la charge du dirigeant poursuivi, mais seulement son insuffisance d'actif;
violation de L. 624-3 du Code de commerce ;
Mais attendu que par arrêt du 26 février 2004, la cour d'appel de Nîmes a rectifié le dispositif de son arrêt du 9 janvier 2003 pour remplacer l'expression "l'intégralité du passif de la SARL SNTP" par l'expression "l'intégralité de l'insuffisance d'actif de la SARL SNTP" ; qu'il s'ensuit que cette rectification prive le moyen de portée ;
PAR CES MOTIFS :
REJETTE le pourvoi ;
Condamne MM. Y... et Z... A... aux dépens ;
Vu l'article 700 du nouveau Code de procédure civile, rejette la demande de MM. Y... et Z... A... ;
Ainsi fait et jugé par la Cour de Cassation, Chambre commerciale, financière et économique, et prononcé par le président en son audience publique du trente juin deux mille quatre.
