Hypermarket Commission Liability in Preemption Exercise
Synthèse Legislator
Généré par l'IAThe case involved an appeal by a hypermarket company against a ruling that upheld its obligation to pay a commission to a real estate agency following the exercise of a right of preemption in a business transfer. The Court of Cassation confirmed the appellate court's decision, reasoning that according to relevant legislation concerning real estate agents, the substitution of the preempting party for the initial purchaser does not negate the real estate agent's right to commission as agreed upon in the contract; since the transaction was successfully concluded and the initial purchaser was only explicitly exempted from payment, the entity that exercised its right of preemption remained liable for the agreed commission.

Attendu que la société Continent hypermarchés a formé un pourvoi en cassation contre l'arrêt confirmatif de la cour d'appel de Versailles du 30 novembre 2000, qui l'a condamnée à payer sa commission à la société Cabinet Raymond ;
Attendu qu'il résulte des articles 6 de la loi du 2 janvier 1970 et 73 du décret du 20 juillet 1972, que la substitution du préempteur à l'acquéreur ne porte pas atteinte au droit à commission de l'agent immobilier, tel qu'il est conventionnellement prévu ; que la cour d'appel, qui a souverainement constaté, hors toute dénaturation, que les parties à la promesse de cession du fonds de commerce s'étaient bornées à dispenser l'acquéreur évincé de l'obligation de régler la commission, a décidé, à bon droit, après avoir relevé que l'opération avait été effectivement conclue, que la société Continent hypermarchés, qui avait usé de son droit de préemption en sa qualité de bailleur des locaux, était tenue de payer la commission à l'agent immobilier ;
PAR CES MOTIFS :
REJETTE le pourvoi ;
Condamne la société SNC Continent hypermarchés aux dépens ;
Ainsi fait et jugé par la Cour de Cassation, Première chambre civile, et prononcé par le président en son audience publique du dix-sept juin deux mille trois.
