Share Sale Liability Guarantee Arbitration Validity Challenge
Synthèse Legislator
Généré par l'IAThe dispute arose from the interpretation of a liability guarantee following the sale of company shares, leading to an arbitration initiated based on an arbitration clause in the contract and formalized by a subsequent arbitration agreement signed by the parties, which resulted in an arbitral award condemning the sellers to pay a sum. The sellers appealed the dismissal of their annulment action, arguing a violation of the adversarial principle regarding the verification of the arbitration agreement's signatures and the capacity of the company to sue. The court rejected the appeal, affirming that the lower court correctly found the arbitration agreement validly signed by the authorized representative after verifying signatures, and that the appellants, by actively participating until the end of the arbitration without raising the company's alleged loss of legal capacity, were deemed to have waived the right to invoke this interruption later.

AU NOM DU PEUPLE FRANCAIS
LA COUR DE CASSATION, DEUXIEME CHAMBRE CIVILE, a rendu l'arrêt suivant :
Sur le moyen unique, tel que reproduit en annexe :
Attendu, selon l'arrêt attaqué (Aix-en-Provence, 18 janvier 2001) et les productions, que MM. X... et Richard Y... ont cédé à la société Garassin management (la société), aux droits de laquelle vient la société SOTEM, les parts qu'ils détenaient dans la société SOTRAVA ; que le contrat était assorti d'une garantie d'actif et de passif et comportait une clause compromissoire prévoyant que les arbitres statueraient comme amiables compositeurs ; qu'un différend ayant opposé les parties sur l'interprétation de la clause de garantie de passif, la société a mis en oeuvre la procédure d'arbitrage, les parties ayant signé un compromis d'arbitrage les 23 novembre et 1er décembre 1995 ; que les consorts Y... ont frappé d'un recours en annulation la sentence par laquelle le tribunal arbitral les avait condamnés solidairement au paiement d'une certaine somme au titre de la garantie de passif ;
Attendu que les consorts Y... font grief à l'arrêt d'avoir rejeté leur recours en annulation ;
Mais attendu qu'ayant relevé qu'elle avait procédé à une vérification d'écriture par comparaison avec les exemplaires de signatures figurant au dossier, ce qui impliquait, en l'absence de contestation, que ces éléments de preuve étaient réputés avoir été régulièrement produits, c'est sans méconnaître le principe de la contradiction et, par une décision motivée, que la cour d'appel, qui n'avait pas à effectuer une recherche qui ne lui était pas demandée, a constaté souverainement que le compromis d'arbitrage avait été signé par le mandataire ad hoc chargé de représenter la société et d'exercer toutes actions judiciaires en son nom ;
Et attendu que les consorts Y..., qui n'allèguent pas que la perte de sa capacité d'ester en justice par la société aurait fait l'objet d'une notification au cours de l'instance arbitrale, ont participé activement à l'arbitrage jusqu'à son terme et doivent donc être réputés avoir renoncé à se prévaloir ultérieurement d'une interruption de l'instance qu'ils se sont, en connaissance de cause, abstenus d'invoquer devant les arbitres ;
D'où il suit que le moyen n'est pas fondé ;
PAR CES MOTIFS :
REJETTE le pourvoi ;
Condamne les consorts Y... aux dépens ;
Vu l'article 700 du nouveau Code de procédure civile, rejette la demande des consorts Y... ;
Ainsi fait et jugé par la Cour de Cassation, Deuxième chambre civile, et prononcé par le président en son audience publique du vingt-huit mai deux mille trois.
