Co-Owner Acceptance of Purchase Offer Validity
Synthèse Legislator
Généré par l'IAThe plaintiffs appealed a decision refusing to declare that the co-owners of a business had failed to validly accept a purchase offer within the stipulated time and denying their claim for the return of a sum of money. The Court of Cassation rejected the appeal, affirming that the Court of Appeal was justified in finding that a co-owner's letter, which refused to extend the option period but stipulated the sale date, constituted an acceptance of the purchase offer made both in his name and on behalf of the other co-owner, especially since the notification formality was not specified in the initial agreement.

Sur le grief du moyen unique, tel qu'énoncé dans le mémoire en demande et ci-dessous reproduit en annexe :
Attendu que MM. X... et Montel reprochent à l'arrêt attaqué d'avoir rejeté leurs demandes tendant à faire constater que MM. Z... et Y..., co-propriétaires du fonds de commerce, n'avaient pas régulièrement accepté l'offre d'achat dans le délai prévu, et à les faire condamner à restituer la somme de 180.000 francs ;
Attendu que la Cour d'appel, qui constate que la notification prévue dans l'acte du 3 avril 1980 n'était assujettie à aucun formalisme, relève que dans sa lettre du 8 mars 1982, par laquelle était refusée la prorogation du délai d'option des acheteurs et demandé que la vente du fonds de commerce ait lieu le 15 avril, comme prévu, - ce qui valait acceptation de l'offre d'achat - M. Robert Z... s'exprimait tant au nom de M. Y... qu'en son nom personnel ; que sa décision est ainsi légalement justifiée et que le moyen n'est donc pas fondé ;
Par ces motifs :
