Administrators' Appealability of Share Sale Order in Judicial Reorganization
Synthèse Legislator
Généré par l'IAThe situation involved a trial court approving a common continuation plan for two companies placed in judicial reorganization, which included an order for the administrators of one company to sell their shares in that company, leading the administrators to appeal this specific disposition. The appellate court declared the appeal inadmissible, reasoning that the order for the sale of shares, when ordered by the tribunal to ensure the survival of the company under the relevant law, was integral to the reorganization plan and thus unappealable, analogous to limitations on appealing the plan itself. The Supreme Court quashed this decision, holding that the provision of the judgment ordering the sale of shares held by company leaders, pursuant to the applicable article, is indeed subject to appeal by those leaders, thereby violating the cited procedural article.

Généré par l'IAThis provision is cited in relation to the ground upon which the decision (cassation) is based, although the main ground appears to be the violation of Article 23 of the 1985 law.
The court found that the order to transfer shares based on this article is appealable, contrary to the lower court's finding.
Texte complet
Sur le moyen unique, pris en sa première branche :
Vu l'article 543 du nouveau Code de procédure civile ;
Attendu, selon l'arrêt déféré, qu'après la mise en redressement judiciaire, par deux décisions distinctes, de la société anonyme Beaufreton et de la société à responsabilité limitée Carel et associés, le tribunal, statuant par un unique jugement, a arrêté un plan de continuation commun aux deux sociétés en ordonnant la cession par Mmes X..., administrateurs de la société Beaufreton, des actions qu'elles détenaient dans le capital de cette dernière ;
Attendu que pour déclarer irrecevable l'appel formé par Mmes X... contre ce jugement, l'arrêt retient que lorsque le tribunal fait usage, pour arrêter un plan de redressement, du pouvoir qui lui est accordé par l'article 23 de la loi du 25 juillet 1985, ce chef de sa décision, indissociable du plan, n'est pas susceptible d'appel, par application des dispositions de l'article 171.2° de la loi du 25 janvier 1985, dès lors que cet appel ne porte que sur le principe et non sur les modalités d'une telle cession d'actions et que, comme en l'espèce, le tribunal motive sa décision par le souci d'assurer la survie de la société ;
Attendu qu'en statuant ainsi, alors que la disposition du jugement qui ordonne la cession des actions détenues par un ou plusieurs dirigeants sociaux en application de l'article 23 de la loi du 25 janvier 1985, devenu l'article L. 621-59 du Code de commerce, est susceptible d'appel de la part de ces dirigeants, l'arrêt a violé le texte susvisé ;
