Liquidators v. Contract Annulment: Retroactive Spanish Bankruptcy Law and French Public Policy
Synthèse Legislator
Généré par l'IAThe liquidators of a bankrupt company sought the annulment of a contract signed between the company and another entity, an action granted by the Court of Appeal based on Spanish law which nullified acts performed by the debtor after the retroactive commencement date of the bankruptcy proceedings, even if done in good faith. The appellant argued that the decision to enforce the Spanish judgment should be revisited and that the application of the Spanish law retroactively voiding the contract violated French international public policy regarding transactional security. The Court of Cassation rejected the appeal, affirming that the refusal to grant full effect to the Spanish judgment had already been upheld in a separate ruling, and importantly, held that the mandatory nullity imposed by Spanish commercial law on acts performed after the bankruptcy's retroactive start date, regardless of the counterparty's good faith, was not contrary to the French conception of international public policy, thus validating the annulment of the contract.

Texte complet
Sur le moyen unique, pris en ses trois branches :
Attendu, selon l'arrêt déféré (Dijon, 24 septembre 1998, RG 96/01328), que les syndics de la société Magefesa, mise en faillite par jugement du tribunal de Bilbao du 28 octobre 1994, avec report des effets de la faillite au 10 novembre 1992, ont demandé l'annulation d'une convention signée le 16 novembre 1992 avec la société Seb ; que la cour d'appel a accueilli cette demande ;
Attendu que la société Seb reproche à l'arrêt d'avoir ainsi statué, alors, selon le moyen :
1° que la cassation de l'arrêt conférant l'exequatur à la décision du tribunal de Bilbao du 28 octobre 1994 entraînera par voie de conséquence l'annulation de l'arrêt par application de l'article 625, alinéa 2, du nouveau Code de procédure civile ;
2° que la loi étrangère désignée par la règle de conflit s'entend du droit étranger dans sa totalité, solutions jurisprudentielles comprises ; qu'en s'abstenant de rechercher, comme le lui demandait la société Seb dans ses conclusions, si le droit espagnol déclarait nuls tous les actes faits par le débiteur depuis la date de cessation des paiements sans aucune distinction, la cour d'appel a violé les articles 3 du Code civil et 455 du nouveau Code de procédure civile ;
3° qu'à supposer que tel soit le cas, cette loi serait contraire à la conception française de l'ordre public international en ce qu'elle porte gravement atteinte au principe fondamental de sécurité des transactions en atteignant rétroactivement des contrats valablement conclus alors même qu'ils ne sont ni empreints d'un caractère anormal ou déséquilibré, ni passés avec une partie ayant connaissance de l'état de cessation des paiements ; qu'en donnant effet en France à une telle disposition, la cour d'appel a violé les principes du droit international privé et les articles 107 et 108 de la loi du 25 janvier 1985 ;
Mais attendu, en premier lieu, que le pourvoi contre l'arrêt conférant l'exequatur à la décision du tribunal de Bilbao du 28 octobre 1994 a été rejeté ce jour par arrêt n° 333 FS-P de la chambre commerciale, financière, économique de la Cour de cassation ;
Attendu, en second lieu, que l'application, en l'espèce, de l'article 878 du Code de commerce espagnol selon laquelle tous les actes de disposition et d'administration postérieurs à la date à laquelle rétroagissent les effets de la faillite sont atteints de nullité, à l'égard de toute personne même de bonne foi, n'est pas contraire à la conception française de l'ordre public international ; que c'est sans encourir les griefs du moyen que la cour d'appel, répondant ainsi aux conclusions évoquées à la deuxième branche, a retenu que la convention du 16 novembre 1992 devait être annulée, en application de ce texte ;
D'où il suit que le moyen, qui manque en sa première branche par suite de la défaillance de la condition qui lui sert de base, n'est pas fondé pour le surplus ;
Par ces motifs :
REJETTE le pourvoi.
