Landlord Termination of Commercial Lease Denied Due to Waiver of Breach
Synthèse Legislator
Généré par l'IALandlords sought the termination of a commercial lease due to the unauthorized assignment of the leasehold and subsequent alterations to the premises. The court upheld the lower court's decision rejecting the termination, reasoning that the landlords' acceptance of the lease assignment was established by their acceptance of rent payments and issuance of receipts directly to the assignee, along with demanding a rent increase from them, thereby curing the defect of non-notification under the relevant Civil Code article. Furthermore, regarding the alterations, the court found that the landlords had legally justified their decision by taking the modifications into account when successfully pursuing a substantial rent revision based on those changes.

Sur le premier moyen :
Attendu que les époux Y..., propriétaires de locaux à usage commercial, donnés à bail à M. X... qui a cédé son droit au bail à la société HK, font grief à l'arrêt attaqué (Saint-Denis, La Réunion, 12 juin 1992) de les débouter de leur demande en résiliation du bail pour défaut de notification aux bailleurs de cette cession, alors, selon le moyen, que la perception, par le propriétaire, des loyers versés par le cessionnaire ne vaut pas acceptation de la cession (violation de l'article 1690 du Code civil) ;
Mais attendu qu'ayant relevé que l'absence de notification aux bailleurs, en violation de l'article 1690 du Code civil, de la cession du droit au bail, avait été couverte par l'acquiescement de ces bailleurs qui, non seulement avaient perçu des loyers mais avaient également établi des quittances au nom du cessionnaire, la société HK, sans la moindre réserve ni protestation et lui avait directement réclamé une augmentation de loyer, la cour d'appel a, par ces seuls motifs, légalement justifié sa décision de ce chef ;
Sur le second moyen :
Attendu que les époux Y... font grief à l'arrêt de rejeter leur demande en résiliation du bail pour modification de l'état des lieux sans autorisation des bailleurs, alors, selon le moyen, qu'une telle perception, consécutive à une modification des lieux qui leur avait été imposée, n'impliquait pas de la part des bailleurs l'acceptation de cette transformation unilatérale (violation de l'article 1728 du Code civil) ;
Mais attendu qu'ayant retenu que les transformations réalisées dans les lieux loués avaient été prises en compte lors de l'instance en révision du prix du loyer, engagée par les bailleurs, qui avait abouti à majorer substantiellement celui-ci, la cour d'appel a, par ce seul motif, légalement justifié sa décision de ce chef ;
PAR CES MOTIFS :
REJETTE le pourvoi.
