Company Information Obligations Regarding Participation in Economic Interest Grouping
Synthèse Legislator
Généré par l'IAThe case involved a company creating an economic interest grouping (EIG) and making the assets and personnel of one of its research centers available to the EIG, while continuing to pay the staff. The lower court had ruled that the originating company was obligated to inform and consult its establishment committee regarding all activities of that research center, based on the premise that the EIG formation did not constitute a transfer of assets and the company retained necessary information. However, the high court quashed this decision, reasoning that because the EIG constituted a distinct legal entity, the originating company's obligation to inform and consult its central committee related only to its *participation* in the EIG, not to the entirety of the research center's activities, which now fell under the sole purview of the separate EIG entity.

Attendu que pour décider que la Société nationale Elf-Aquitaine (production) devait, conformément aux dispositions des articles L. 432-1, L. 432-2 et L. 432-3 du Code du travail, informer et consulter le comité de son établissement de Lacq de l'ensemble des activités du Centre de recherches de Lacq, l'arrêt confirmatif attaqué a énoncé notamment que la constitution d'un groupement d'intérêt économique ne pouvait avoir pour effet de céder partie des biens, immobilisations ou matériels de la Société nationale Elf-Aquitaine (production) au profit du groupement et que la société disposait de l'information concernant le Centre de recherches de Lacq ;
