Company sold shares tied to property; court ruled transfer occurred at contract signing, not payment date.
Legislator summary
AI generatedThe Administrative Court allowed the tax authority's claim that the company's shares were taxable in 1987. Although the company argued transfer occurred only upon full payment in 1988, the court found the transfer of ownership rights happened at the contract's signing. Consequently, the company's profit from the sale was correctly classified as 1987 income.
Legislator headnote

Yhtiö myi 4.11.1987 laaditulla kauppakirjalla huoneistoon
oikeuttavat asunto-osakeyhtiön osakkeet, jotka se 29.6.1987
oli ostanut. Huoneistoa oli käytetty yhtiön toimistohuoneistona
ja osakkeet olivat yhtiön käyttöomaisuutta. Kauppakirjan
ehtojen mukaan 80 000 markkaa kauppahinnasta kuitattiin
heti maksetuksi ja loppukauppahinta 310 000 markkaa
tuli maksaa viimeistään huoneiston vapautuessa 1.7.1988.
Yhtiö luovutti huoneiston hallinnan ostajalle vasta viimeksi
mainittuna ajankohtana. Yhtiön tuli kauppakirjan mukaan
maksaa yhtiövastike 1.7.1988 saakka. Osakkeiden omistuoikeuden
siirtyminen oli kauppakirjassa sidottu loppukauppahinnan
suorittamiseen.
Lääninoikeus katsoi, että yhtiö oli kauppakirjan ehdoista
huolimatta luovuttanut osakkeet niiden myyntiä koskevan
sitovan sopimuksen allekirjoittamisella. Osakkeiden myyntivoitto
oli verotettava verovuoden 1987 tulona. Verovuosi
1987.
