Social security contributions not due for share purchases below market price by parent company to employees.
Legislator summary
AI generatedThe Administrative Court dismissed the claim that social security contributions were owed for shares sold by a parent company to its employees at a discount. The court found that the parent company was not a party to the transactions with the subsidiary or the employees, and thus did not incur the liability for advance withholding or employer taxes. Consequently, the court ruled that no social security contributions were payable in these specific corporate share purchase scenarios.

Yhtiö A:n hallintoneuvoston päätöksellä yhtiön johtokunnan
jäsenille ja eräille työntekijöille oli annettu oikeus hankkia
yhtiö A:n osakkkeita tietty määrä määrättyyn hintaan,
joka alitti osakkeiden keskimääräisen pörssihinnan. Osakkeet
oli myynyt yhtiö A:n tytäryhtiö B.
Yhtiö A ei ollut osakekaupoissa sopijapuolena eikä yhtiö A:n
ollut väitettykään suorittaneen sopijapuolena toimineelle
tytäryhtiö B:lle kauppoihin liittyviä korvauksia. Osakekauppojen
yhteydessä ostajille alihinnan johdosta syntyneiksi
katsottuja etuja ei näin ollen pidetty yhtiö A:n suorittamana
palkkana, josta yhtiö olisi ollut velvollinen toimittamaan
ennakonpidätyksen ja maksamaan työnantajan sosiaaliturvamaksun.
Samoin, kun yhtiö A:n tytäryhtiö C oli myynyt eräälle yhtiö
A:n palveluksessa olevalle henkilölle kolmannen yhtiön osakkeita
pörssihinnan alittavaan hintaan.
