The Federal Court of Finance (BFH) dismissed the tax authority's complaint, upholding the lower court's determination that the taxpayer prevailed in the dispute over the income tax treatment of a share transfer. The case involved a challenge to the assessment of income under § 17 EStG arising from a husband transferring half of his shares in a corporation to his wife to satisfy her gain equalization claim upon the dissolution of their matrimonial property regime. The court clarified that such a transfer constitutes a taxable disposal under § 17(1) EStG, but crucially, the selling price for tax purposes under § 17(2) EStG is not the value of the transferred shares, but rather the value of the counterperformance received by the seller, which is the gain equalization claim of the spouse as fixed in the marital agreement. </think> The Federal Court of Finance dismissed the tax authority's complaint, thereby upholding the lower court's decision in favor of the taxpayer regarding the income tax treatment of a corporate share transfer. The dispute centered on whether a transfer of half of a company's shares from one spouse to another to satisfy a gain equalization claim upon the end of a matrimonial property regime constituted a taxable disposal under income tax law, and how to value such a transaction. The court ruled that the transfer is a taxable disposal under § 17(1) EStG, but established that the relevant selling price under § 17(2) EStG is the value of the counterperformance acquired by the seller—specifically, the spouse's gain equalization claim—rather than the value of the transferred shares themselves.
