Shareholder resolution validity: No fundamental significance or need for uniform interpretation bars non-admission of appeal
Legislator-Zusammenfassung
KI-generiertThe German Federal Court of Justice (BGH) dismissed the plaintiffs' complaint for non-admission of appeal, rejecting their challenge to a 2023 order by the Düsseldorf Regional Court and ordering the plaintiffs to bear the costs of the proceedings. The dispute, valued at approximately €139,300, involved an appeal against specific resolutions (items 2, 3, 6, and 7) adopted by a shareholders' meeting, thereby implicating corporate law and procedural rules regarding shareholder rights. The court held that the case raised no questions of fundamental significance and that the appeal was not necessary to develop the law or ensure uniform judicial interpretation pursuant to § 543(2) of the Code of Civil Procedure (ZPO), noting additionally that the court lacked the authority to adjust the dispute value for the appellate instance ex officio.
