Admissibility of appeal to Federal Supreme Court: liability of non-distributing entities in financial prospectus cases
Legislator-Zusammenfassung
KI-generiertThe German Federal Court of Justice (BGH) partially admitted the plaintiff's appeal for review, specifically reversing the lower court’s dismissal of the claim against the second defendant, while denying review regarding the first and third defendants and upholding the lower court’s findings on jurisdiction and the absence of distribution liability. The dispute involved a civil lawsuit concerning alleged liability for distribution or management duties arising from a financial prospectus, where the plaintiff argued the defendants bore responsibility for the issuance or sale of securities. The court held that the second defendant was liable, whereas the first and third defendants were exonerated because the prospectus explicitly assigned distribution duties to a separate entity and the exonerated parties lacked business management authority, with the legal analysis governed by §§ 543, 544 ZPO and substantive principles on contractual allocation of distribution risk.

Juli 2023 (XI ZB 11/21, juris Rn. 23).
Von einer weiteren Begründung wird gemäß § 544 Abs. 6 Satz 2 Halbs. 2 ZPO abgesehen.
