Coexistence of statutory prospectus liability and intermediary liability under information contract in capital investments
Legislator-Zusammenfassung
KI-generiertThe Federal Court of Justice dismissed the defendant’s complaint against the non-admission of revision, thereby upholding the lower court’s judgment and denying the appeal for lack of fundamental legal significance. The dispute concerned a capital investment transaction, specifically whether the specialized statutory prospectus liability regime precluded concurrent liability of the investment intermediary based on a separate information contract concluded with the investor. The court held that the specialized prospectus liability under § 13 VerkProspG and § 44(1) No. 1 Stock Exchange Act (versions in force until May 31, 2012) does not exclude the intermediary’s liability from the ancillary information contract, as expressly provided by § 13 VerkProspG and § 47(2) of the same version of the Stock Exchange Act, allowing both causes of action to coexist.
