Supervisory board liability for annual financial statements: non-decisive legal error on oversight duty vs. failure of subjective tort elements
Legislator-Zusammenfassung
KI-generiertThe Federal Court of Justice dismissed the plaintiff's complaint against the non-admission of revision, leaving the appellate court's denial of liability in force, as the legal error identified did not materially affect the outcome. The dispute concerned a claim for damages against a supervisory board member of a stock corporation (Kommanditgesellschaft auf Aktien) for failing to properly oversee the annual financial statements. While the court acknowledged that the appellate court erred in holding that the supervisory board has no duty to review the annual financial statements under § 278 Abs. 3 iVm § 111 AktG, it determined this error was not decisive because the lower court had independently and correctly denied liability by finding that the subjective elements for tort liability under § 826 BGB were not met. Consequently, no grounds for admission of revision under § 543 Abs. 2 ZPO existed, and the plaintiff was ordered to bear the costs of the complaint proceedings.

Entscheidungserheblichkeit eines Rechtsfehlers; Prüfpflicht des Aufsichtsrats bezüglich des Jahresabschlusses
[TENOR]
