Attribution of liability for pre-contractual breach due to defective prospectus in financial product sales
Legislator-Zusammenfassung
KI-generiertThe Federal Court of Justice partially admitted the plaintiff's complaint for leave to appeal, permitting a revision solely concerning a claim for damages against the second defendant for pre-contractual breach of duty based on a defective prospectus, while rejecting the remainder of the complaint as lacking fundamental legal significance. The dispute centers on a civil liability claim where the plaintiff challenged the defendants' responsibilities arising from the sale of financial products, specifically addressing the scope of distribution liability and the validity of oral assurances. The court held that the first defendant bore no distribution responsibility as the prospectus assigned distribution to another entity and the first defendant lacked managerial authority, and it affirmed the lower court's finding that the plaintiff failed to prove the existence of an incorrect oral assurance by the advisor. Key legal doctrines involved include pre-contractual duties (*culpa in contrahendo*), the standards for admitting revision under § 543 ZPO regarding fundamental significance or legal unity, and the specific attribution of liability for prospectus defects versus oral misrepresentations.
