GmbH loan repayment: minority shareholder's defense of abuse of rights based on permanent profit retention (Thesaurierung)
Legislator-Zusammenfassung
KI-generiertThe Federal Court of Justice (BGH) dismissed the minority shareholder's complaint against the non-admission of revision, thereby upholding the appellate court's judgment which affirmed that the shareholder must repay a company loan. The dispute concerned a limited liability company shareholder's obligation to reimburse a loan, where the shareholder argued that the demand was abusive due to the company's permanent retention of profits ("thesaurization") preventing distribution. The court held that the shareholder cannot permanently refuse repayment based on the thesaurization defense; instead, he is required to seek alternative paid employment or pursue legal remedies, such as annulment proceedings against the profit-retention resolutions, and must apply any resulting compensation toward the loan repayment. The decision rests on the doctrine of abuse of rights regarding permanent profit retention and the specific burden of proof allocation for loan reimbursement claims under German law.

GmbH: Inanspruchnahme eines Minderheitsgesellschafters auf Rückzahlung eines Darlehens; Einwand des Rechtsmissbrauchs wegen permanenter Thesaurierung; Verteilung der Darlegungs- und Beweislast
[TENOR]
Halbsatz ZPO abgesehen.
Die Klägerin trägt die Kosten des Beschwerdeverfahrens (§ 97 ZPO).
