Closure of Secondary Bankruptcy Proceeding Following Asset Transfer
Sintesi Legislator
Generato dall'IAA party sought the closure of a secondary bankruptcy proceeding concerning a foreign entity and its partners, which had been recognized in the jurisdiction following an initial foreign declaration of bankruptcy, after the enforcing authority confirmed it had transferred the remaining assets, including bank balances and shares, to the foreign bankruptcy administration as previously ordered by the court. The court granted the request to close the secondary bankruptcy, reasoning that under applicable international private law principles, specifically referencing the relevant articles of the Private International Law Act and the Federal Execution and Bankruptcy Law, the procedure is deemed exhausted once the Swiss assets have been distributed to local creditors, if any, and the remainder transferred to the main foreign administration following the recognition of the foreign claim ranking, thereby necessitating a formal closure decision under the law.

composta dei giudici: · Chiesa, presidente, Pellegrini e Walser

statuendo sull’istanza 24 gennaio 2005 dell’
IS 1
decretato da questa Camera il 6 giugno 2000;
ritenuto in fatto e considerato in diritto
1. Con sentenza 15 maggio 1996, il Tribunale di __________ (Italia) ha dichiarato il fallimento di __________, società di fatto con sede a __________, e di __________, __________, soci illimitatamente responsabili della __________.
Con sentenza 10 luglio 1996, il fallimento è stato “esteso” a __________ __________, __________ __________, __________ CO 1 e __________, __________, per poi essere revocato, il 16 ottobre 2002, limitatamente alle signore __________ e __________.
18 dicembre 1996/29 gennaio 1997 (inc. 14.03.99/04.27), ordinando all’AP 1:
■ la trasmissione del saldo dei conti n° __________ e __________ presso __________, __________, mediante bonifico bancario sul conto del fallimento di __________ aperto presso __________ S.p.A. - __________ (dispositivo n° 1.2);
■ la consegna all’avv. RA 2, Lugano, di 17 azioni al portatore da fr. 1'000.– cadauna, numerate da 4 a 20, nonché i 48 certificati azionari di ognuno 10 azioni di fr. 1'000.– cadauna, numerati da 21 a 68, di F__________ (dispositivo n° 1.3).
170 e segg. LDIP (cfr. Volken, Zürcher Kommentar zum IPRG, 2. ed., Zurigo/Basilea/ Ginevra
2004, n. 20 ad art. 170; Kurt Siehr, Das internationale Privatrecht der Schweiz, Zurigo 2002, p. 703 a.i.; Gilliéron, Commentaire de la LP, vol. III, Losanna 2001, n. 11 ad art. 221-270; Berti/Bürgi, Basler Kommentar zum IPR, Basilea/ Francoforte-sul-Meno 1996, n. 1 e 10 ss. ad art. 170; ZR 1995, n. 59 ad 2, p. 183, e il rinvio all'art. 221 LEF di cui al cons. 2.1). Pertanto, anche l’art. 268 LEF risulta applicabile.
6. La presente decisione va pubblicata e comunicata all'ufficio di esecuzione, all'ufficio dei fallimenti e all'ufficio del registro di commercio (art. 169 LDIP).
4. Intimazione a:
– __________ __________ RA 2, __________
– __________
– AP 1
– Ufficio dei registri di __________.
